v1.4 Updated Oct 7, 2026 Part of the Terms by reference
ULTRAMINT — RISK DISCLOSURE AND PARTICIPANT DISCLAIMER
Operator: Vivaach SRL, Costa Rica
Version: v1.4 [DRAFT]
Effective date: [insert on publication]
This Risk Disclosure and Participant Disclaimer (this "Disclosure") forms part of, and is incorporated by reference into, the ULTRAMINT Terms of Service. Capitalized terms used but not defined here have the meanings given in the Terms of Service. This Disclosure does not limit any risk factor, disclaimer, or limitation of liability stated elsewhere in the Terms of Service; where this Disclosure and the Terms of Service address the same subject, both apply and the Terms of Service control in the event of conflict.
Structure of this Disclosure:
- Part 1 — Financial Risk, Total Loss, and Past Performance Disclaimers (§§1–4)
- Part 2 — No Financial Advice and Informational / Entertainment Classification (§§5–10)
- Part 3 — Operational / Regulatory Risks and Participant Consent Acknowledgment (§§11–13)
⚠️ READ THIS BEFORE YOU COMMIT ANY FUNDS
PREDICTION MARKETS ARE HIGHLY SPECULATIVE. YOU CAN LOSE ALL OF THE MONEY YOU COMMIT. IF YOU ARE NOT PREPARED TO LOSE 100% OF THE FUNDS YOU COMMIT TO ANY MARKET, DO NOT PARTICIPATE.
ONCE YOU ACQUIRE A POSITION, YOU CANNOT SELL IT, TRANSFER IT, OR CASH OUT. YOUR FUNDS ARE COMMITTED UNTIL THE MARKET RESOLVES. THERE IS NO EXIT AND NO GUARANTEED RETURN.
PART 1 — FINANCIAL RISK, TOTAL LOSS, AND PAST PERFORMANCE DISCLAIMERS
1. High-Risk Speculative Nature and Potential Total Loss
1.1 Participation Is Highly Speculative
(a) Participating in prediction markets on the Platform is highly speculative and involves a substantial risk of financial loss. Each position you acquire is a speculative commitment of capital whose value depends entirely on the resolution of an uncertain future event that you do not control and cannot predict with certainty.
(b) You should participate only with funds you can afford to lose entirely, and only after determining that this activity is appropriate for you in light of your financial circumstances, risk tolerance, experience, and the laws applicable to you. Prediction markets are not suitable for all persons, are not a savings, investment, retirement, or income-generating product, and must never be funded with money you need for living expenses, debt, or any other purpose.
⚠️ THE PLATFORM IS NOT AN INVESTMENT. A POSITION IS NOT A DEPOSIT, A SECURITY, A SAVINGS INSTRUMENT, OR AN INTEREST-BEARING ACCOUNT. IT IS A SPECULATIVE PURCHASE ON AN UNCERTAIN OUTCOME.
1.2 You May Lose 100% of the Funds You Commit
(a) You may lose the entire amount you commit to any market or contract. If a market resolves against the outcome you selected, your position becomes worthless and you receive nothing. The loss is total, immediate upon settlement, and irreversible.
(b) There is no ceiling on the frequency of total losses across markets: you may lose the full amount committed to every market in which you participate, one after another, and nothing about a prior loss, gain, or resolution reduces the risk of total loss in any other market.
(c) Settlement is final and irreversible by construction. Once a market settles on the Blockchain, the outcome cannot be changed, reversed, corrected, or re-settled by you, by the Platform, or by any other person, and no refund of a losing position is available (Terms of Service §2.6(d)). Your loss is not recoverable through appeal, dispute, chargeback, or any other process.
⚠️ TOTAL LOSS IS A NORMAL AND EXPECTED OUTCOME OF PREDICTION-MARKET PARTICIPATION — NOT AN ERROR, A MALFUNCTION, OR A BREACH BY THE PLATFORM.
1.3 No Principal Protection, No Guaranteed Return, No Yield
(a) Your position carries no principal protection. No portion of the funds you commit is protected, insured, guaranteed, secured, or set aside for your benefit. There is no deposit insurance, no investor-compensation scheme, no guarantor, and no backstop of any kind. If you lose, your committed funds are gone.
(b) No guaranteed return. The Platform does not promise, project, or guarantee any return, profit, payout, gain, or preservation of capital on any position. Any potential payout is contingent entirely on the market resolving in favor of the outcome you selected, and even a favorable resolution is subject to the applicable settlement fee, which is deducted from proceeds at the time you claim (Terms of Service §6.3).
(c) No underlying yield on your position. Holding a position does not earn you interest, dividends, staking rewards, or yield of any kind. Where a market's collateral is deployed to a third-party yield venue, any net yield is handled solely as provided in the Terms of Service (including on a void under §2.4) and is not a return on your position, is not guaranteed, and may be reduced or eliminated — including by loss of principal — if the yield venue fails, is frozen, becomes illiquid, or is exploited (Terms of Service §2.4(b)(ii), §2.6(g), §5.5). A yield venue is not a safe harbor for your capital.
⚠️ NOTHING ABOUT A POSITION IS "SAFE." THERE IS NO SAFE OUTCOME, NO PROTECTED PORTION, AND NO GUARANTEED RETURN OF YOUR MONEY.
2. Past Performance and Probability Disclaimer
2.1 Past Performance Is Not Indicative of Future Results
(a) Past market resolutions, historical trading performance, and the historic accuracy or track record of any market, market creator, outcome, category, or of the Platform generally, are NOT indicative of, and do not predict, guarantee, or increase the likelihood of, any future result or market outcome.
(b) Without limitation:
(i) the fact that a market, category, or creator has resolved "accurately," profitably, or as expected in the past does not mean any future market will do so;
(ii) your own prior gains, winning positions, or successful predictions do not mean you will profit, or avoid loss, on any future position; and
(iii) any statistic, leaderboard, history, chart, "hit rate," or performance figure displayed on or derived from the Platform is historical information only, is provided for general information, and must not be relied on as a prediction, recommendation, or assurance of any future outcome.
⚠️ PAST RESULTS DO NOT PREDICT FUTURE RESULTS. EACH MARKET IS INDEPENDENT AND CARRIES ITS OWN COMPLETE RISK OF LOSS.
2.2 Prices and Implied Probabilities Reflect Crowd Sentiment Only
(a) The prices, odds, and implied probabilities displayed for any market are generated by an automated market maker (LS-LMSR) from the pattern of positions participants have taken. They reflect aggregate participant sentiment only, as at the moment they were computed. They are not:
(i) a forecast, prediction, or statement by the Platform as to what will actually happen;
(ii) a measurement of the true, objective, or statistical probability of any real-world outcome;
(iii) financial, investment, purchasing, or any other advice or recommendation; or
(iv) a guarantee, assurance, or increased likelihood that any outcome will or will not occur.
(b) An implied probability of any level — however high or low — does not guarantee any real-world outcome. Outcomes the market treats as near-certain do not always occur, and outcomes the market treats as unlikely do sometimes occur. A market can be, and often is, "wrong" relative to the eventual real-world result, and you bear the full risk of loss if the crowd sentiment reflected in the price diverges from the actual outcome.
(c) Trading volume and liquidity are not signals of accuracy or safety. High volume, deep participation, or apparent consensus in a market does not indicate that the market's price is correct, that a particular outcome is more likely, or that the market is a safer place to commit funds.
(d) A price reproduced outside the Interface is a cached snapshot, and may be stale by days. Where a link to a market or event is shared, the Platform generates a preview image — a "share card" or "link preview" — carrying that market's question, its prices, and figures such as volume, trader count, and time to close. That image is produced by a separate rendering service, is cached for up to one week at the content-delivery edge and for as long as the receiving platform chooses to keep it, and is then displayed by third-party platforms (including messaging, social, and search services) outside the Platform's control. Accordingly:
(i) every figure on such an image is a snapshot of the moment it was rendered, is not live, and may differ materially from the current price, from the on-chain state, and from what the market page itself displays;
(ii) the image is informational and entertainment content within the meaning of Part 2 (§5.1), and everything in subsections (a) to (c) above applies to it in full — it is not a quote, not an offer, not a solicitation, not an inducement, and not a recommendation to participate in the market it depicts (Terms of Service §§4.3, 5.3(d));
(iii) the appearance of such an image on any third-party platform is not an act of promotion, endorsement, or availability by the Platform in the place where it is seen, and does not make the Platform available to any person who is not eligible under the Terms of Service (§4) and the Prohibited Jurisdictions Policy; and
(iv) you must not act on a figure taken from a preview image. The market page in the Interface is the current display, and the on-chain state governs over both (Terms of Service §5.3(d)).
⚠️ A PRICE IS A SNAPSHOT OF WHAT OTHER BUYERS ARE PAYING — NOT A PROMISE ABOUT REALITY. A PRICE IN A SHARED LINK PREVIEW IS AN OLDER SNAPSHOT STILL.
3. Volatility, Price Impact, and the Absence of an Exit
NOTE ON MARKET STRUCTURE. The Platform's markets are buy-only and priced by an automated market maker. There is no order book, no bid or offer, no quoting, no selling, no shorting, and no secondary transfer. You acquire a position by committing collateral to a chosen outcome; the position is recorded to your address, is not transferable, and is held to resolution (Terms of Service §3.5(a)). The risks in this Section reflect that structure.
3.1 Extreme Price Volatility
(a) Market prices on the Platform are generated by the automated market maker and move continuously and can move sharply as participants take positions and as information about the underlying event emerges. Prices may be extremely volatile, may swing significantly in short periods, and may move against the outcome you selected at any time before resolution.
(b) You acknowledge that the price at which you acquire a position may differ from the price you saw when you decided to participate, and that the value the market implies for your position can rise or fall to zero before the market resolves. Price movement before resolution does not entitle you to exit, to a refund, or to any interim value.
3.2 Price Impact and Slippage at Entry
(a) Because pricing is determined by an automated market maker rather than by matching against resting orders, the price you pay depends on the size of your position relative to the market's available liquidity. A larger position moves the price against you as it is filled ("price impact"), and the effective price you receive may be materially worse than the price displayed for a small position.
(b) Prices move continuously, and the price at which your transaction executes on-chain may differ from the price displayed or quoted when you signed your instruction ("slippage"). The interval between signing and on-chain execution — affected by network congestion, transaction ordering, and MEV (including front-running and "sandwich" attacks) — may widen that difference. The Interface offers three price tolerances — 0.5%, 1%, and 3% — and 0.5% applies unless you choose another of those three before you sign. You do not set the minimum number of shares. That minimum is determined by the Platform from the tolerance in force for that purchase, is disclosed to you before you sign, and forms part of the instruction you authorize (Terms of Service §5.8(a)). A transaction that cannot execute at or above that minimum will revert rather than execute on different terms, and your authorization may be consumed (Terms of Service §§5.6(c), 5.7(b), 5.8).
(c) The Platform does not guarantee execution, execution price, execution order, or execution timing, and disclaims all liability for slippage, price impact, and for any failed, delayed, reverted, reordered, or non-executed transaction (Terms of Service §5.8(b)).
3.3 Liquidity Risk
(a) The automated market maker provides liquidity algorithmically, but that liquidity is finite and is not guaranteed. In a market with thin participation, even a modest position can cause significant price impact, and the market's implied prices may be unstable, erratic, or unrepresentative.
(b) You acknowledge that there is no counterparty obligation owed to you: no person, market maker, or the Platform is obligated to provide liquidity, to take the other side of your position, or to ensure that any market attracts sufficient participation. A market may remain thin, one-sided, or inactive for its entire duration.
3.4 There Is No Exit Before Resolution
(a) You cannot sell, transfer, assign, close, unwind, redeem, or cash out a position before the market resolves. There is no sell function, no secondary market, and no mechanism of any kind by which you can convert a position back to funds prior to resolution. This is a structural feature of the Platform, not a temporary condition caused by low liquidity, and it applies regardless of market conditions, price movement, or your circumstances.
(b) Once you acquire a position, your committed funds remain committed until the market reaches a terminal state — settlement to a final outcome, or a void with refunds under the Terms of Service (§2.4). You cannot accelerate, force, or opt out of that process.
(c) You cannot reliably hedge. Because positions are buy-only and non-transferable, you have no ability to hedge by selling or shorting. Acquiring an offsetting position in the same or another market is not a true hedge: it commits additional capital, incurs additional price impact and fees, does not return or protect the capital already committed, and does not guarantee any net result. You bear the full risk that no effective hedge is available to you.
(d) You further acknowledge that a market's close time may be brought forward by the Platform at its discretion, which stops further position-taking but does not create any exit right and does not change how the market settles; a stopped market resolves and pays out exactly as it otherwise would (Terms of Service §2.6(e)(i)). The Platform is under no obligation to void a market, to shorten it, or to provide any means of early exit, and the availability of a void is not a remedy you may demand.
⚠️ TREAT EVERY AMOUNT YOU COMMIT AS LOCKED UNTIL THE MARKET RESOLVES. THERE IS NO "SELL" BUTTON, NO EARLY WITHDRAWAL, AND NO GUARANTEED WAY OUT. IF YOU MIGHT NEED THE MONEY BEFORE RESOLUTION, DO NOT COMMIT IT.
4. Acknowledgment (Part 1)
(a) By accessing the Platform and by committing funds to any market, you acknowledge that you have read, understood, and accepted the risks described in this Part 1, including the risk of total loss, the absence of principal protection, guaranteed return, or yield, the fact that past performance and displayed probabilities do not predict future outcomes, and the fact that positions are buy-only, non-transferable, and cannot be exited before resolution.
(b) You represent that you are participating on your own initiative, on the basis of your own judgment, and not in reliance on any representation by the Platform as to the likelihood of any outcome or the profitability of any position. The assumption-of-risk and no-reliance provisions of the Terms of Service (§2.7) apply in full.
PART 2 — NO FINANCIAL ADVICE AND INFORMATIONAL / ENTERTAINMENT CLASSIFICATION
5. Informational and Entertainment Classification of Platform Content
5.1 Content Is Provided for Informational and Entertainment Purposes Only
(a) All markets, market questions, market listings, interface data, odds, implied probabilities, outcome prices, price charts, historical data, statistics, leaderboards, rankings, notifications, and all other content, metrics, and communications made available on or through the Platform or the Interface (collectively, "Platform Content") are provided strictly for INFORMATIONAL AND ENTERTAINMENT PURPOSES ONLY.
(b) Platform Content consists of outputs and displays generated from participant activity and third-party data. It is not, and must not be understood or relied upon as, a recommendation, a solicitation, an inducement, financial or investment advice, a forecast, an official valuation, or a statement by the Platform as to what will or should happen in the real world.
PLATFORM CONTENT IS INFORMATIONAL AND ENTERTAINMENT CONTENT — NOT ADVICE, NOT A RECOMMENDATION, AND NOT A PREDICTION OF FACT.
5.2 Classification of Content Does Not Reduce the Real-Money, At-Risk Nature of Participation
(a) The informational-and-entertainment classification in Section 5.1 applies to Platform Content — the data, prices, probabilities, and communications the Platform displays. It does not diminish, qualify, or soften the fact that:
(i) every position you take is a binding, real-money commitment of funds;
(ii) you may lose 100% of the funds you commit, and total loss is a normal and expected outcome (Part 1, §1); and
(iii) settlement is final and irreversible (Terms of Service §2.6(d)).
(b) You must not treat the classification of Platform Content as informational or entertainment as any indication that your financial exposure is not real, that your funds are not at risk, or that participation is a game without financial consequence. The classification addresses the nature of the information, not the seriousness of the risk.
5.3 Not an Investment Vehicle or Regulated Financial Product
(a) You shall not treat, characterize, or rely on the Platform, any market, or any position as:
(i) an investment vehicle, investment product, investment scheme, or a means of generating investment returns, income, or yield;
(ii) a savings account, deposit account, or store of value, or any product in which principal is preserved, protected, or insured;
(iii) a security, derivative, swap, futures contract, option, commodity interest, or other regulated financial instrument; or
(iv) a banking, brokerage, custodial, asset-management, or fiduciary service of any kind.
(b) The Platform does not offer, and nothing on the Platform constitutes an offer of, any of the products or services listed in subsection (a). Any resemblance in mechanics, terminology, or presentation to such products is superficial and does not change the nature of what the Platform provides.
A POSITION IS A SPECULATIVE PURCHASE ON AN UNCERTAIN OUTCOME. IT IS NOT AN INVESTMENT, A DEPOSIT, A SECURITY, OR A REGULATED FINANCIAL INSTRUMENT.
6. No Financial, Investment, Trading, Legal, or Tax Advice
6.1 Absolute Disclaimer of Advice
(a) To the maximum extent permitted by applicable law, none of the Platform, Vivaach SRL, the Platform Parties, the Interface, the software, the Protocol Contracts, any Platform Content, or any communication made available on or through any of the foregoing constitutes, or shall be construed as:
(i) financial advice or a financial recommendation;
(ii) investment advice, an investment recommendation, or a recommendation to acquire, hold, or dispose of any position or asset;
(iii) trading advice or a trading signal, strategy, or recommendation;
(iv) legal advice; or
(v) tax or accounting advice (Terms of Service §6.1(c), §6.4(b)).
(b) Nothing on the Platform is an offer, solicitation, inducement, or recommendation to take any position in any market, to participate in any market, or to make any financial, legal, or tax decision. Any decision you make is your own decision alone.
6.2 No Advice as to Suitability or Appropriateness
(a) The Platform does not assess, and gives no opinion or assurance as to, whether participation in any market, or any position, is suitable or appropriate for you, for your financial circumstances, or for your objectives. The Platform does not know your circumstances and does not undertake to evaluate them.
(b) The Platform is not your tax adviser and does not provide tax advice. You are solely responsible for determining and paying any tax that applies to your activity (Terms of Service §6.4).
7. No Fiduciary or Advisory Relationship
7.1 No Relationship of Trust, Advice, or Agency
(a) Nothing in this Disclosure, the Terms of Service, or any feature, tool, disclosure, or communication of the Platform creates any fiduciary, advisory, custodial, trust, agency, partnership, joint-venture, brokerage, or employment relationship running from the Platform or any Platform Party to you (Terms of Service §6.13 and §7). You and the Platform are independent parties.
(b) The Platform owes you no duty to advise you, to act in your financial interest, to protect you from loss, to monitor your positions, or to intervene on your behalf.
7.2 Misaligned Interests; No Guarantee
(a) You acknowledge that the Platform's interests — including its fee revenue — are not aligned with any particular Resolution Outcome or with the profitability of any position you take, and that the Platform has no duty to act, or to refrain from acting, in your individual financial interest (Terms of Service §6.13).
(b) The Platform does not guarantee the profitability of any position, market, or strategy, the accuracy of any odds, price, or probability displayed, or that any market will attract sufficient participation.
THE PLATFORM IS NOT YOUR ADVISER, BROKER, FIDUCIARY, OR AGENT. IT OWES YOU NO DUTY TO PROTECT YOU FROM LOSS.
8. User Responsibility for Independent Evaluation
8.1 Your Duty to Do Your Own Research
(a) You are solely responsible for your own decisions. Before taking any position in any market, you must conduct your own independent research, due diligence, and risk evaluation, including your own assessment of:
(i) the market's resolution criteria, resolution method, resolver, and Source of Truth;
(ii) the underlying event and the information available about it;
(iii) the risks described in Part 1, including the risk of total loss and the absence of any exit before resolution; and
(iv) whether participation is lawful for you and appropriate to your circumstances.
(b) You represent that you have independently evaluated each market and its Source of Truth, and that you are not relying on any representation by the Platform Parties as to the accuracy of any data source or the correctness of any outcome (Terms of Service §2.7).
8.2 Consult Independent Professionals
(a) The Platform strongly recommends that, before participating, you obtain and rely on independent professional advice from qualified, licensed financial, investment, legal, and tax professionals regarding your individual circumstances, objectives, and obligations.
(b) You should not treat any Platform Content, or the absence of any warning, as a substitute for such professional advice. Your decision not to seek professional advice is made at your own risk, and the Platform bears no responsibility for any consequence of that decision.
9. Non-Reliance on Platform Metrics
9.1 You Shall Not Rely on Platform Metrics
(a) You agree that you shall not rely on any market price, outcome price, odds, implied probability, crowd probability, trading volume, historical data, chart, leaderboard, ranking, Platform commentary, or any other metric or display made available on or through the Platform (collectively, "Platform Metrics") as:
(i) a prediction or statement of fact about any real-world event or outcome;
(ii) an investment signal, trading signal, or recommendation;
(iii) an official, reference, fair, or market valuation of any event, asset, position, or outcome; or
(iv) advice of any kind.
(b) Platform Metrics reflect aggregate participant sentiment and third-party data only, as at the moment they were computed (Part 1, §2.2). They are frequently inaccurate relative to eventual real-world outcomes, may be volatile, incomplete, delayed, or erroneous, and carry no assurance of accuracy, reliability, or predictive value.
(c) This Section applies to a Platform Metric wherever you encounter it, including one reproduced in a share card or link preview displayed by a third-party platform, which is a cached snapshot and may be stale by days (Part 1, §2.2(d)).
9.2 Reliance Is at Your Sole Risk
(a) Any use you make of, or reliance you place on, any Platform Content or Platform Metric is at your sole risk. To the maximum extent permitted by applicable law, the Platform Parties disclaim all liability for any loss or decision arising from your use of, or reliance on, any Platform Content or Platform Metric.
DO NOT MISTAKE A MARKET PRICE OR A CROWD PROBABILITY FOR A FACT, A FORECAST, A VALUATION, OR ADVICE. IF YOU RELY ON IT, YOU DO SO ENTIRELY AT YOUR OWN RISK.
10. Acknowledgment (Part 2)
(a) By accessing the Platform and by taking any position in any market, you acknowledge that you have read, understood, and accepted this Part 2, and specifically that:
(i) Platform Content is provided for informational and entertainment purposes only, and this classification does not reduce the real-money, at-risk nature of participation;
(ii) nothing on the Platform is financial, investment, trading, legal, or tax advice, and no fiduciary or advisory relationship exists between you and the Platform;
(iii) you are solely responsible for your own research, due diligence, and decisions, and you are responsible for seeking independent professional advice; and
(iv) you will not rely on Platform Metrics as predictions of fact, investment signals, valuations, or advice.
PART 3 — OPERATIONAL / REGULATORY RISKS AND PARTICIPANT CONSENT ACKNOWLEDGMENT
11. Regulatory and Legal Uncertainty
11.1 The Legal Landscape Is Unsettled and Rapidly Changing
(a) You acknowledge that the legal and regulatory treatment of prediction markets, event contracts, on-chain outcome purchases, digital assets, stablecoins, and related activity is uncertain, inconsistent across jurisdictions, and evolving rapidly. Laws, regulations, rules, guidance, licensing requirements, and enforcement priorities — at the local, national, and international level — may change at any time, may change without notice, and may be applied retroactively or in ways that are unexpected, unclear, or contradictory between jurisdictions.
(b) You acknowledge that whether, and how, any such law or regulation applies to the Platform, to a particular market, or to your own participation is not settled, and that the Platform makes no representation or warranty that the Platform, any market, or your participation is or will remain lawful, permitted, or free from regulatory challenge in any jurisdiction. You are solely responsible for determining, and ensuring on an ongoing basis, that your participation is lawful for you (Terms of Service §4.2(c)).
11.2 Legal or Regulatory Action May Disrupt Markets Without Notice
(a) You acknowledge that a court order, subpoena, injunction, seizure or freezing order, cease-and-desist order, statutory or regulatory prohibition or ban, licensing demand, sanctions designation, or other directive, request, inquiry, or enforcement action from any court, regulator, law-enforcement agency, or governmental authority — or the Platform's own reasonable determination that such action is necessary or advisable to comply with applicable law or to mitigate legal, regulatory, or reputational risk — may, at any time and without prior notice, cause the Platform to take one or more of the following actions with respect to one or more markets:
(i) restrict, suspend, or disable access to the Platform, the Interface, or the Relay Service, in whole or in part, including on a jurisdictional basis;
(ii) stop further position-taking in a market by bringing its close time forward (a one-way action);
(iii) void a market and return staked funds at par with no settlement fee, including under the Regulatory Preemption and Emergency Void provisions of the Terms of Service (§6.2); and
(iv) decline to relay transactions, restrict accounts, or restrict allowlists as an off-chain measure (Terms of Service §2.6(f)).
(b) Limits of what the Platform can do. You acknowledge that the Protocol Contracts are autonomous and immutable and contain no pause, upgrade, or administrative-proxy function (Terms of Service §1(f), §5.3). Accordingly, the actions above operate at the level of the Platform's Interface, Relay Service, accounts, allowlists, and the on-chain void and stop-position-taking levers — the Platform cannot alter the terms of a live market, cannot reverse or re-settle a settled market (Terms of Service §2.6(d)), and cannot "shut down" the autonomous Protocol Contracts, which may continue to operate independently of the Platform.
(c) No remedy for regulatory disruption. Where a market is voided on legal or regulatory grounds, your sole and exclusive remedy is the return of your staked funds as provided in the Terms of Service (§2.4, §6.2), subject to the yield-venue caveat in Part 1 (§1.3(c)) — that is, where collateral has been deployed to a third-party yield venue, return may be delayed or reduced until recovery from that venue succeeds. You are not entitled to any anticipated or "winning" payout, profit, expectation, or mark-to-market value, and the Platform is not liable for exercising, declining to exercise, or delaying any action under this Section (Terms of Service §6.2(c)).
⚠️ LAWS MAY CHANGE, AND REGULATORS MAY ACT, AT ANY TIME AND WITHOUT WARNING. A MARKET YOU HAVE ENTERED MAY BE RESTRICTED OR VOIDED AS A RESULT. YOUR ONLY REMEDY IS THE RETURN OF YOUR STAKE — NEVER A "WINNING" PAYOUT.
12. Technical, Network, and Operational Risks
12.1 Smart Contract Risk
(a) You acknowledge and expressly assume the risk that the Protocol Contracts may contain bugs, errors, defects, security vulnerabilities, or economic or design flaws, and may be subject to exploits — including reentrancy attacks, logic errors, oracle or price manipulation, flash-loan attacks, integer or rounding errors, and unexpected, unintended, or malicious code execution (Terms of Service §5.4(a)).
(b) You acknowledge that auditing, formal verification, testing, and monitoring reduce but do not eliminate these risks and are not a warranty of safety, that the Protocol Contracts are immutable once deployed and may behave in ways not anticipated, and that their behavior is governed solely by their code as deployed. A defect or exploit may result in the delay, disruption, freezing, misdirection, or total and permanent loss of funds committed to a market, with no remedy against the Platform.
(c) Audit status — the contracts have not been externally audited. As at the effective date of this Disclosure, the Protocol Contracts have not completed an external, independent third-party security audit. The statement in subsection (b) about the effect of auditing describes the limits of auditing generally; it is not a representation that any audit, formal verification, or independent review has been performed on the Protocol Contracts. You should not assume that any code deployed by the Platform has been independently reviewed.
(i) The absence of a completed external audit materially increases every risk described in this Section 12.1, including the risk of undiscovered defects and exploits leading to the total and permanent loss of your funds.
(ii) Because the Protocol Contracts are immutable — with no upgrade mechanism, no administrative proxy, and no pause function (Terms of Service §1(f), §2.6(e)) — a defect discovered after deployment cannot be patched. The contract will continue to operate exactly as written for as long as it exists.
(iii) Where an external audit is completed, the Platform will update this Disclosure to reflect its scope, date, and findings. Until then, you commit funds on the express understanding that the code has not been independently reviewed.
⚠️ THE SMART CONTRACTS THAT HOLD YOUR MONEY HAVE NOT BEEN INDEPENDENTLY AUDITED, AND THEY CANNOT BE PATCHED AFTER DEPLOYMENT. IF THERE IS A FLAW IN THE CODE, YOUR FUNDS MAY BE LOST PERMANENTLY AND YOU WILL HAVE NO CLAIM AGAINST THE PLATFORM.
12.2 Blockchain and Network Risk
(a) You acknowledge and expressly assume the risks inherent in the underlying blockchain and its Layer-2 network, including without limitation: network failures, outages, or degradation; network congestion; chain splits, hard or soft forks, and protocol changes; block reorganizations ("reorgs"); consensus failures, majority (51%) attacks, and finality delays; sequencer downtime, censorship, delay, or failure on a Layer-2 network and delays in settlement to the underlying chain; and extreme volatility in gas or transaction fees (Terms of Service §5.4(b)).
(b) You acknowledge that any of the foregoing may cause a transaction (including a position acquisition, a resolution, or a claim) to be delayed, stuck, dropped, reverted, reordered, or to fail entirely, and may delay or disrupt resolution or the payout of a settled market. The Platform does not control the blockchain and is not responsible for any of the foregoing.
12.3 Transaction Execution, MEV, and Slippage
(a) Because market pricing is determined by an automated market maker and there is no order book, the Platform's markets are buy-only and have no "orders" in the order-book sense (Terms of Service §3.5(a)). You acknowledge that the execution of a transaction is not guaranteed: a transaction may fail, revert, be delayed, be dropped, be reordered, or effectively be cancelled, including where the minimum described in §3.2(b) cannot be met, where gas is insufficient, where the network is congested, or where a nonce or authorization is stale, and a submitted instruction may not execute at all (Terms of Service §5.8).
(b) You acknowledge that public blockchains permit third parties (including validators, sequencers, block builders, and searchers) to observe pending transactions and to reorder, insert, delay, or censor them for profit — practices known as Maximal Extractable Value ("MEV"), including front-running, back-running, and "sandwich" attacks — and that prices on an automated market maker move continuously, so the price at which a transaction executes may differ from the price displayed when you signed it ("slippage") (Terms of Service §5.6(c), §5.8). You choose a price tolerance of 0.5%, 1%, or 3% (0.5% unless you choose otherwise). The minimum number of shares is determined by the Platform from that tolerance and disclosed to you before you sign (§3.2(b)). The Platform does not guarantee execution, execution price, execution order, or execution timing, and disclaims all liability for slippage and for any failed, delayed, reverted, reordered, or non-executed transaction.
12.4 Relay Service and Third-Party Infrastructure Risk
(a) Gas for relayed transactions is presently covered by the Platform's Relay Service, but that service is provided on an "AS IS" and "AS AVAILABLE" basis, may be delayed, rate-limited, congested, unavailable, or discontinued, and may fail or decline to submit any particular instruction — including during gas-fee spikes or network congestion — for any or no reason and without notice. The Platform does not guarantee that any signed instruction will be relayed, included in a block, or executed, and a refusal to relay does not entitle you to any remedy (Terms of Service §5.7(d)).
(b) You acknowledge that your access to and use of the Platform depends on infrastructure operated by independent third parties, including without limitation RPC and node providers (for example, Alchemy and Infura), wallet software and providers, web hosting, content-delivery and domain-name services, indexing and data providers, oracles and data feeds, bridges, stablecoin issuers, and yield-vault protocols. The outage, degradation, rate-limiting, discontinuation, error, or failure of any such provider may disrupt or prevent your access, your transactions, resolution, or payouts. The Platform does not control these providers and is not responsible for their acts or omissions (Terms of Service §5.7, §6.11).
12.5 Non-Custodial Model; Your Sole Responsibility for Keys and Wallet
(a) You acknowledge that the Platform operates on a non-custodial basis. Your Wallet is a non-custodial, externally-owned account provisioned for you through the Platform's authentication provider (Magic.link) when you sign up; the Platform does not support connecting an external or pre-existing ("bring-your-own") wallet. You retain sole and exclusive control of your Wallet and assets, and the Platform does not hold, control, or have the ability to recover them (Terms of Service §5.2, §5.9). You are solely responsible for the security of your means of accessing your Wallet — including the email address and authentication factors used to authenticate with Magic.link, and any private key or recovery material you export.
(b) You further acknowledge that your access to your Wallet depends on a third-party provider (Magic.link) and on your continued ability to authenticate with it. Loss of access to your authentication email or factors, compromise of your credentials or of any exported private key, a failure or discontinuation of the authentication provider, or your authorization of a fraudulent, mistaken, or malicious transaction, may result in the irreversible and total loss of your funds, and the Platform has no ability to reverse, recover, freeze, or restore them.
⚠️ ON-CHAIN ACTIVITY CAN FAIL, STALL, OR BE EXPLOITED, AND SETTLEMENT IS IRREVERSIBLE. A TECHNICAL FAILURE, A SMART-CONTRACT DEFECT, OR THE LOSS OF YOUR KEYS CAN CAUSE THE PERMANENT LOSS OF YOUR FUNDS, WITH NO REMEDY AGAINST THE PLATFORM.
13. Express Participant Acknowledgment and Assumption of Risk
13.1 Informed, Voluntary Assumption of All Risks
(a) By signing up, authenticating, indicating your acceptance, and interacting with any market, you represent and agree that you have read, understood, and voluntarily accepted the entirety of this Risk Disclosure and Participant Disclaimer — Parts 1, 2, and 3 — together with the Terms of Service and all policies incorporated by reference, before taking any position or interacting with any market.
(b) You knowingly, voluntarily, and irrevocably assume all risks described in this Disclosure, including without limitation the risk of total loss of funds; the absence of any exit before resolution; the finality and irreversibility of settlement; the regulatory and legal uncertainty and the possibility of disruption or void without notice; and the technical, network, smart-contract, key-custody, and third-party infrastructure risks described above.
(c) You confirm that you are acting on your own behalf, on your own initiative, and on your own independent judgment, and not in reliance on any representation by the Platform, and that you are eligible to participate under the Terms of Service (§4).
13.2 Consent Text for Onboarding (UI Implementation)
(a) The following consent statement is to be presented at sign-up / first authentication (via Magic.link), adjacent to a checkbox that is unchecked by default and that the participant must affirmatively check in order to proceed. The full text of this Disclosure and the Terms of Service must be accessible by link from the same screen. The Platform should retain a timestamped record of each participant's acceptance and the version accepted.
☐ I ACKNOWLEDGE AND AGREE
By checking this box and signing in, I confirm that:
- I have read and understood the ULTRAMINT Risk Disclosure and Participant Disclaimer and the Terms of Service.
- I understand that participating is highly speculative and that I may lose 100% of the funds I commit, that positions cannot be sold, transferred, or exited before a market resolves, and that settlement is final and irreversible.
- I understand that nothing on the platform is financial, investment, legal, or tax advice, that no advisory or fiduciary relationship is created, and that I am responsible for my own research and decisions.
- I understand that laws may change and regulators may act without notice, and that a market may be restricted or voided as a result, in which case my only remedy is the return of my stake.
- I understand the technical risks — including smart-contract defects, network failures, reorgs, failed or delayed transactions, and loss of access to my account or wallet (for example, losing my sign-in email) — and that these may cause the permanent loss of my funds with no remedy against the platform.
- I understand that the smart contracts have not been independently audited, that they cannot be changed or patched after deployment, and that a flaw in the code could cause the permanent loss of my funds.
- I am eligible to participate under the Terms of Service, I am not a restricted or prohibited person, and I am acting on my own behalf and my own judgment.
- I voluntarily and irrevocably accept all of these risks.
☐ I have read, understood, and agree to the Risk Disclosure and the Terms of Service.
(b) Exact checkbox sentence (plain-language, single-line UI variant). This is the text to place immediately next to the onboarding checkbox. It is written for an average retail reader, and it keeps the two headline warnings — total loss and information / entertainment only — in plain sight:
☐ By signing in and trading, I confirm I have read and agree to the [Risk Disclosure] and [Terms of Service]. I understand that prediction markets are highly speculative, that I can lose 100% of the money I put in, that my positions are final and cannot be cashed out early, and that nothing here is financial advice — the markets, prices, and odds are for information and entertainment only.
(c) Even shorter (space-constrained UI):
☐ By signing in and trading, I agree to the [Risk Disclosure] and [Terms of Service]. I understand I can lose 100% of what I put in, positions are final, and the markets and odds are for information and entertainment only — not financial advice.
13.3 Effect of Acceptance
(a) Your acceptance of this Disclosure is a binding condition of your access to and use of the Platform. Acceptance does not create any right, warranty, or obligation in your favor beyond those expressly stated in the Terms of Service, and does not limit any disclaimer, exclusion, or limitation of liability set out in this Disclosure or the Terms of Service.
(b) Your continued use of the Platform following any update to this Disclosure or the Terms of Service constitutes acceptance of the then-current version, which governs your subsequent activity (Terms of Service §7.2(d)).
