1. Definitions and Interpretation
1.1 Defined Terms
In these Terms, the following capitalized terms have the meanings given below. Additional terms are defined where they first appear in the Section to which they relate, and those definitions apply throughout these Terms.
(a) "Terms" means these Terms of Service, together with all policies, schedules, and documents expressly incorporated by reference (including the Privacy Policy, the Content Policy, the Prohibited Jurisdictions List, and the Fee Schedule), each as amended from time to time.
(b) "Platform," "we," "us," and "our" mean Vivaach SRL, a company organized under the laws of Costa Rica, operating the ULTRAMINT prediction-market platform. Every obligation, right, disclaimer, and limitation in these Terms attaches to the Platform as so defined.
(c) "ULTRAMINT" means the prediction-market platform operated by the Platform, comprising the Interface and the user's access to the Protocol Contracts.
(d) "you," "your," and "User" mean the person or entity accessing or using the Platform. If you act on behalf of an entity, "you" includes both you and that entity.
(e) "Interface" means the hosted, web-based user interface, application, and related off-chain software and content operated and made available by the Platform, through which you may view markets and construct and submit instructions to the Protocol Contracts.
(f) "Protocol Contracts" means the autonomous, self-executing smart contracts of the Strata protocol, deployed to a public blockchain, that implement market creation, position acquisition, pricing, settlement, resolution, and claims. The Protocol Contracts operate automatically and deterministically according to their code, independently of the Platform. They are immutable: they contain no administrative proxy, no upgrade mechanism, and no pause function, and their behaviour is governed by their code as deployed. You may verify this: the cryptographic messages you sign are bound to an EIP-712 domain naming the Strata protocol and the specific market contract. For all purposes relating to liability, the Protocol Contracts do not form part of, and are not, the services provided by the Platform.
(g) "Blockchain" means the underlying public blockchain network (including any Layer-2 network and its sequencer or validator set) on which the Protocol Contracts are deployed and transactions are settled.
(h) "Wallet" means the non-custodial, externally-owned blockchain account (EOA) provisioned for you through the Platform's authentication provider (Magic.link) when you sign up, together with the associated private key and signing capability that you control and use to authorize transactions. The Platform does not offer or support the connection of any externally sourced or pre-existing wallet ("bring-your-own-wallet"); every user's Wallet is the embedded, non-custodial account provisioned at sign-up. The Platform does not hold your keys and cannot sign on your behalf.
(i) "Relay Service" means the off-chain service (operated by the Platform) that accepts your signed transaction authorizations, submits them to the Blockchain, and pays the network gas for them from an operator-controlled account.
(j) "Market" means any prediction market made available through the Platform, and includes "Open Markets" (permissionless, publicly accessible user-generated markets) and "Closed Group Markets" (markets restricted to the members of a community, offered as the "Members only" markets of a "Town"; a Town's "Public" markets are Open Markets), each as further described in these Terms.
(k) "Content Policy" means the Platform's market-content and safety policy governing which markets may be created or listed, formally titled the Acceptable Use and Prohibited Markets Policy and published at https://ultramint.xyz/legal/content-policy, as amended and versioned from time to time. References in these Terms and in any incorporated policy to the "Content Policy," the "Acceptable Use Policy," or the "Acceptable Use / Prohibited Markets Policy" are references to that same document.
(l) "Fee Schedule" means the schedule of fees and related disclosures published at https://ultramint.xyz/legal/fee-schedule, as amended and versioned from time to time.
(m) "Prohibited Jurisdictions List" means the separate living list of restricted jurisdictions maintained by the Platform, published at https://ultramint.xyz/legal/prohibited-jurisdictions, and incorporated into these Terms, as amended and versioned from time to time.
(n) "Platform Parties" means the Platform, Vivaach SRL, its parent and affiliates, and their respective officers, directors, employees, agents, and service providers.
(o) "Released Parties" means the Platform, Vivaach SRL, and each of its and their founders, owners, directors, officers, employees, agents, operators, and affiliates.
(p) "Dispute" means any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, any Market, the Protocol Contracts, or your use of any of the foregoing, whether based in contract, tort, statute, or any other theory, and whether arising before, during, or after the term of these Terms.
1.2 Interpretation
(a) Headings are for convenience only and do not affect interpretation. Words importing the singular include the plural and vice versa.
(b) "Including," "includes," and "for example" are illustrative and not limiting, and are read as if followed by "without limitation." "Or" is not exclusive.
(c) A reference to a Section is to a Section of these Terms; a reference to a statute, rule, or policy is to it as amended, supplemented, or replaced from time to time.
(d) A reference to a "person" includes an individual, entity, or unincorporated body. References to "written" or "in writing" include electronic communications.
(e) If there is a conflict between the body of these Terms and an incorporated policy or schedule, the body of these Terms controls unless the policy or schedule expressly states otherwise; as between two Sections, a Section addressing a matter specifically controls over a Section addressing it generally.
2. Oracle Architecture and Event Resolution
2.1 Definitions
For purposes of this Section:
(a) "Oracle" means, collectively, the resolution infrastructure used by the Platform to determine market outcomes, comprising the Rule Engine, the Data Source Layer, and the AI Oracle, together with any resolver designated for a given market.
(b) "Rule Engine" means the Platform's deterministic evaluation component that applies a market's pre-defined Resolution Rule to the output of the market's Designated Data Source, without discretion.
(c) "Data Source Layer" means the external application programming interfaces, oracles, price feeds, and other third-party data sources designated at market creation, including without limitation API-Football / API-Sports (sports fixtures and scores), the Pyth Network Hermes price-feed API (crypto and certain equity prices), the TikTok, Twitter/X, and YouTube data APIs (social-engagement metrics), and any additional sources added from time to time.
(d) "AI Oracle" means the Platform's evidence-based resolution pipeline used for open-domain questions lacking a single authoritative data field, which retrieves and scores evidence from a moderated trusted-domain allowlist and submits it to a pool of independent large-language-model judges operating under quorum, supermajority, and model-diversity requirements.
(e) "Designated Data Source" means the specific external data provider or the AI Oracle selected for a market at creation and disclosed in the market details.
(f) "Resolution Rule" means the objective condition, defined at market creation and disclosed in the market details, against which the Designated Data Source's output is mechanically evaluated to determine the outcome.
(g) "Resolver" means the single mechanism designated to settle a market, fixed in the market's contract when the market is created and not changeable thereafter. A market's Resolver is one of:
(i) an Automated Resolver — the default for Open Markets and for Closed Group Markets resolved under Mode A: either the Rule Engine evaluating the market's Resolution Rule against its Designated Data Source, or the AI Oracle where the market has no dedicated data-field source; or
(ii) an Authoritative Resolver (Mode B): a single named party, being the market creator, whose determination settles the market directly.
Markets using an Automated Resolver settle through the public proposal, bonded-challenge, arbiter, and finalization process described in Section 2.6(a). Markets using an Authoritative Resolver settle directly from their creator's signed instruction and have no challenge, appeal, attestation, or arbitration mechanism. See Section 2.6.
(h) "Source of Truth" means, for any market, the output of that market's Designated Data Source (or, for Authoritative markets, the market creator's determination), as applied through the market's Resolver.
(i) "Resolution Outcome" means the result produced by the Resolver and recorded by the Platform for settlement.
2.2 Source of Truth; Finality and Binding Effect
(a) Each market is settled against exactly one Source of Truth, designated and disclosed in the market details at the time the market is created and before any position is taken. By taking any position in a market, you acknowledge that you have reviewed and accepted that market's Designated Data Source, Resolution Rule, and Resolver.
(b) You agree that the Resolution Outcome produced by a market's Resolver is final, binding, non-appealable, and conclusive as between you, all other participants, and the Platform. The Resolution Outcome governs settlement even if you believe, or it is later shown, that the underlying real-world event occurred differently, that the Designated Data Source reported inaccurate, delayed, corrected, restated, or erroneous data, or that a different result would have been reached using a different source, method, or resolver.
(c) The Platform does not adjudicate the "true" outcome of any real-world event. Its role is limited to mechanically executing each market's Resolution Rule against its Source of Truth (or, for Authoritative markets, recording the creator's determination). You waive, to the maximum extent permitted by applicable law, any right to contest, appeal, re-litigate, or seek reversal or adjustment of a Resolution Outcome, whether before the Platform, in arbitration, or otherwise, except to the limited extent expressly provided in Section 2.4 (void and refund) and Section 2.6 (intervention). The limited interpretive and substitution determinations reserved to the Platform under Section 2.3 (including the resolution of ambiguity and the designation of a substitute source) are an express, bargained-for part of this resolution mechanism, do not convert the Platform into an adjudicator of the underlying event, and are themselves final and binding under this Section; the absence of general discretion does not create, and shall not be argued to create, any right of appeal beyond Sections 2.4 and 2.6.
(d) The dispute mechanism depends on the persisted resolution mode. An Automated Resolver market uses the public proposal, bonded-challenge, arbiter, and finalization process in Section 2.6(a). An Authoritative Resolver market provides no challenge window, proposal stage, attestation requirement, bonded dispute right, arbiter determination, appeal, or other process by which its outcome may be contested or revisited. For an Authoritative Resolver market, the market creator is the sole Resolver, resolves the market using their own judgment, and may report or void it; the creator's determination is final and non-contestable, and the Platform does not review, supervise, verify, or override that determination. The resolver is fixed in the market's contract when the market is created and cannot be changed. You participate in such a market at your own risk and in reliance on the creator, not the Platform.
2.3 Delayed, Canceled, Postponed, or Ambiguous Events
(a) Real-world events do not always occur as scheduled, and Designated Data Sources are not always available or unambiguous. The following governs such circumstances. Nothing in this Section obligates the Platform to substitute its own judgment for a Source of Truth.
(b) Data source unavailability, unprocessable output, or manipulation. If a market's Designated Data Source is unavailable, discontinued, materially changed, returns data that cannot be processed against the Resolution Rule, or has, in the Platform's reasonable determination, been manipulated, compromised, or rendered unreliable, the Platform may, in its sole discretion: (i) delay resolution pending availability of the source; (ii) designate a substitute source of comparable authority; or (iii) void the market and initiate refunds under Section 2.4.
(c) AI Oracle non-consensus. For markets resolved by the AI Oracle, if the judge pool cannot reach the required quorum, supermajority, and model-diversity consensus after the pipeline's retries, the market will not be partially settled. It will instead be escalated to manual review or placed in a paused state, and, if it cannot be conclusively resolved, voided with refunds under Section 2.4.
(d) Delayed or postponed events. If the real-world event underlying a market is delayed, postponed, or rescheduled, the Platform may hold the market open pending occurrence of the event. If the event has not occurred, or the market cannot otherwise be resolved against its Source of Truth, within sixty (60) days after the market's scheduled or reasonably expected resolution time, the market will be voided and refunds initiated under Section 2.4.
(e) Canceled or non-occurring events. If the underlying event is canceled outright, is abandoned, or will not occur such that the Resolution Rule can never be satisfied or falsified, the Platform may void the market at any time and initiate refunds under Section 2.4, without waiting for the 60-day period in subsection (d) to elapse.
(f) Ambiguous outcomes. If the Resolution Rule is ambiguous as applied to the actual event, or the Source of Truth produces a result that does not clearly satisfy or fail the Resolution Rule, the Platform may resolve the market according to the most reasonable literal reading of the Resolution Rule and the Source of Truth, or, where no reasonable reading yields a determinate outcome, void the market and initiate refunds under Section 2.4. Any such determination by the Platform is itself final and binding under Section 2.2.
(g) You acknowledge that the choices described in this Section (delay, substitute, resolve, or void) are committed to the Platform's sole and reasonable discretion, and that the Platform is not liable for electing any of them, subject only to Section 2.4.
(h) Substitute source becomes the Source of Truth. Where the Platform designates a substitute source under this Section, that substitute is the market's Designated Data Source and Source of Truth for all purposes, and the resulting Resolution Outcome is final and binding under Section 2.2 to the same extent as if the substitute had been designated at creation. Your acceptance under Section 2.2(a) extends to any substitute designated in accordance with this Section.
2.4 Voiding and Refunds
(a) When a market is voided under this Section, the market is settled to "void," no winning or losing outcome is recognized, and each participant is refunded on the basis set out in this subsection.
(b) Refund basis. A refund on a voided market returns to each participant, at par and with no Platform fee deducted, the full amount that participant staked in that market, plus that participant's pro-rata share of any net yield earned on staked collateral. No settlement fee is charged on a voided market, because the Platform's fee is taken only out of a settled market's proceeds and never on a void.
(i) Yield is paid on a void. Where a market's collateral was deployed to a yield venue, each participant's refund includes their share of the net yield in proportion to their stake, whether or not the market resolved and whether or not they would have won.
(ii) Sole exception, collateral shortfall. If a third-party yield venue holding a market's collateral returns less than the principal deployed to it, refunds are reduced pro rata across all participants in proportion to the recovered amount, and no participant has any claim against the Platform for the shortfall. This is the only circumstance in which a void refund is less than the full stake. See Section 5.5.
(iii) Refunds are made in the same asset in which positions were acquired and do not include interest, opportunity cost, gas or network fees, exchange-rate movement, or any consequential loss.
(c) Refunds are the sole and exclusive remedy available to you in respect of a voided market. You are not entitled to the value your position might have had at settlement, to any AMM-implied or mark-to-market value, or to any expectation, speculative, or "should-have-won" damages.
(d) The Platform will use commercially reasonable efforts to process refunds within a reasonable period after a market is voided but does not guarantee any particular timing.
2.5 Disclaimer of Liability for Oracle Failure, Data, and Third-Party Conduct
(a) The Oracle and all Designated Data Sources are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, the Platform Parties disclaim all warranties, express or implied, regarding the Oracle and any Designated Data Source, including any warranty of accuracy, completeness, timeliness, availability, continuity, fitness for a particular purpose, or non-infringement.
(b) No control over third-party sources. Designated Data Sources are operated by independent third parties over whom the Platform has no control. The Platform is not responsible for, and the Platform Parties shall not be liable for, any loss arising from: (i) inaccurate, incomplete, delayed, corrupted, manipulated, restated, or erroneous data from any Designated Data Source; (ii) the unavailability, discontinuation, rate-limiting, deprecation, or change of any Designated Data Source; (iii) errors, bugs, latency, or failures in the Rule Engine, the AI Oracle, or any resolution pipeline; or (iv) any incorrect Resolution Outcome resulting from any of the foregoing.
(c) Market, protocol, and third-party exploits. To the maximum extent permitted by applicable law, the Platform Parties shall not be liable for any loss arising from: (i) front-running, back-running, sandwiching, latency arbitrage, or other trade-ordering or timing strategies by any person; (ii) manipulation of a Designated Data Source, price feed, or the underlying real-world event or its reporting; (iii) exploitation of the AMM, smart contracts, oracle, or other Platform or protocol components by any third party; (iv) oracle manipulation, flash-loan, or governance attacks; or (v) network congestion, reorganizations, forks, or failures of any underlying blockchain, node, relay, or infrastructure provider. You expressly assume these risks as inherent to on-chain prediction markets.
(d) Creator-resolved markets. The Platform Parties shall not be liable for any determination, error, delay, bad faith, or misconduct of a market creator acting as Resolver in an Authoritative (Mode B) market.
(e) Aggregate limitation. Without limiting any broader limitation of liability elsewhere in these Terms (including Section 6.8), the aggregate liability of the Platform Parties to you arising out of or relating to the Oracle, resolution, or any market shall not exceed the total platform fees actually paid by you to the Platform in respect of the affected market. In no event shall the Platform Parties be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits or lost opportunity, whether in contract, tort, or otherwise, even if advised of the possibility of such damages.
(f) Nothing in this Section excludes or limits any liability that cannot lawfully be excluded or limited under applicable law; where any exclusion or limitation is held unenforceable, it applies to the maximum extent permitted, and the remainder of this Section remains in effect.
2.6 Finality; the Limits of Platform Authority
This Section describes what the Platform can and cannot do to a market. Read (a), (c), (d) and (e) carefully: whether a market can be challenged at all depends on how it was configured, an Authoritative (Mode B) market cannot be challenged by anyone, and once any market settles the outcome is irreversible — no one, including the Platform, can change it or move your funds.
(a) Whether a challenge mechanism exists depends on the market. Markets resolved through the Platform's attestation infrastructure settle through a proposal, challenge, and finalization sequence: a proposed outcome is published with a deadline, and until that deadline passes any participant may dispute the proposal by posting a bond. A disputed proposal escalates to an arbiter set for determination. Where no dispute is raised before the deadline, the proposal finalizes and the market settles on it.
(i) The parameters are set per market, not platform-wide. The length of the challenge window, the size of the required bond, the arbiter set, and the threshold at which that set may act are configured for each market individually, and a market may be configured with the mechanism inactive. The values in force for a market, and whether the mechanism applies to it at all, are disclosed on that market's card and in its details before you may take a position. Do not assume the parameters of one market apply to another.
(ii) A bond is at risk. A disputer's bond is not a fee and is not guaranteed to be returned. Depending on the outcome of the determination, a posted bond may be forfeited to the Platform's treasury or pooled for the participants holding the prevailing outcome. Disputing a proposal therefore places your own capital at risk on the correctness of your challenge.
(iii) The window is a real deadline. Once it passes without a dispute, the proposal finalizes and the outcome is beyond challenge. There is no extension, no late dispute, and no relief for a participant who did not act in time.
(b) Authoritative (Mode B) markets have no challenge mechanism at all. A market with an Authoritative Resolver settles when its creator reports the outcome. There is no proposal stage, no challenge window, no bonded dispute right, no arbiter set, and no appeal or review process for such a market. Its creator's determination is final when made.
This is a protection that exists elsewhere on the Platform and does not exist here. Where a market resolved through the attestation infrastructure gives you a window in which to dispute a proposed outcome, an Authoritative market gives you none. The disclosure in Section 3.4(b) is displayed before you may take a position in such a market precisely because you are accepting that trade-off — the creator alone decides, that creator may hold a position in the market, and there is no recourse against the decision.
(c) What this means for you. Outside the challenge window described in subsection (a), you cannot contest a Resolution Outcome, and neither can anyone else. Once a proposal finalizes, or once an Authoritative creator reports, the market settles and the resulting allocation of funds is final. Your protections are: (i) the pre-participation disclosures you review before taking a position (Section 2.2(a); Market Resolution Policy §4), (ii) where the market is configured for it, the bonded dispute right in subsection (a), exercised within the window and at your own risk as to the bond, and (iii) only on markets whose resolver grants it authority, the Platform's discretionary void power under subsection (e)(ii) and Section 2.3. An Authoritative market grants that power solely to its creator.
(d) Settlement is irreversible, by construction. When a market settles, the outcome and the resulting allocation of funds become permanent. This is not a policy commitment that the Platform could choose to break: every resolution function in the Protocol Contracts rejects a second call, no function exists to re-resolve, correct, reverse, or override a settled market, and no function exists by which the Platform, Vivaach SRL, any affiliate, any market creator, any resolver, or any other person can alter a settled outcome. Neither the Platform nor anyone else can take, redirect, freeze, or acquire an interest in your funds held by a market. The Protocol Contracts contain no function permitting it: the only destinations a market can pay to are the position holder, the market creator, the Platform's treasury (out of the Platform's own fee), and an approved yield venue. There is no rescue, sweep-to-arbitrary-address, or emergency-withdrawal function.
(e) What the Platform can actually do to a live market. The Platform's on-chain authority over a market that has not yet settled is limited to exactly two levers, and no others:
(i) Stop position-taking early. The Platform may bring a market's close time forward, which prevents further positions being taken. This is one-way: a close time can never be extended and a stopped market can never be reopened. Stopping does not change settlement, a stopped market resolves and pays out exactly as one that closed at its original time.
(ii) Void the market. The Platform may resolve a market void, refunding every participant at par under Section 2.4.
There is no pause function, no upgrade mechanism, and no administrative proxy in the Protocol Contracts. Accordingly, where these Terms refer to the Platform "pausing," "halting," "suspending," or "intervening in" a market, that refers to the two levers in this subsection together with the off-chain measures in subsection (f), and never to any power to alter a settled outcome or to move your funds.
(f) Off-chain measures. Separately from the on-chain levers in subsection (e), the Platform may at any time and in its sole discretion suspend, restrict, or modify the Interface, decline to relay a transaction through the Relay Service, restrict an account, or restrict an allowlist, in response to a suspected or actual data-source failure, resolver malfunction, exploit, manipulation, security incident, legal or regulatory requirement, or other event materially affecting the integrity of a market or the Platform. These measures do not stop the Protocol Contracts, which continue to operate autonomously, and do not affect any position or entitlement already recorded on the Blockchain. Where a market has already settled, an off-chain measure cannot prevent a claim: the claim function is permissionless and may be called by anyone.
(g) A failed yield venue can delay even a void. You should understand a specific consequence of the design in subsection (d). Where a market's collateral has been deployed to a third-party yield venue, the Protocol Contracts require the collateral to be recovered from that venue before the market can resolve at all, including before it can be voided. If the venue is frozen, illiquid, exploited, or otherwise unable to return the collateral, resolution and refunds are blocked until recovery succeeds, and the Platform has no power to override this. Funds may remain committed for an indefinite period. Neither the Platform nor anyone else can release them early. You accept this risk as a condition of participating in a market that uses a yield venue; the venue for each market is disclosed in its terms before you take a position.
(h) Reserved authority regarding data sources. Within the limits above, the Platform may exercise the determinations described in Section 2.3, including delaying resolution, designating a substitute source, resolving against the Source of Truth, or voiding with refund.
(i) Effect on committed funds. Funds committed to positions in a market that is disputed, delayed, or otherwise not yet settled remain committed to that market and are neither forfeited to nor confiscated by the Platform. They are not available for withdrawal or further use until the market reaches a terminal state: settlement to a final Resolution Outcome, or a void with refunds under Section 2.4. The Platform does not use, rehypothecate, lend, or take a proprietary interest in committed user funds.
(j) Resolution of a broken market. Where a market cannot be reliably resolved against its Source of Truth, the Platform will seek to bring it to a terminal state (settlement or a void with refunds under Section 2.4) within a reasonable period, subject to subsection (g). Where the conditions of Section 2.3 are met, the market will default to void and refund.
(k) No obligation to intervene; no guarantee. The authority described in this Section is a right and not a duty. The Platform does not guarantee that it will detect, prevent, or successfully remediate any failure, exploit, or error, and, subject to Section 2.5, the Platform Parties are not liable for exercising, declining to exercise, or delaying the exercise of any authority under this Section.
(l) Finality of these determinations. Determinations made by the Platform under this Section — including whether to stop position-taking, void a market, substitute a source, or resume — are final and binding on you in the manner provided in Section 2.2.
2.7 Assumption of Risk; No Reliance
You acknowledge that prediction markets involve substantial risk, that Resolution Outcomes depend on third-party data and automated systems that may fail, and that you may lose the entire amount you commit to any market. You represent that you have independently evaluated each market and its Source of Truth, that you are not relying on any representation by the Platform Parties as to the accuracy of any Designated Data Source or the correctness of any Resolution Outcome, and that you accept the risks described in this Section as a condition of your use of the Platform.
3. Market Integrity, Manipulation, and Insider Trading
3.1 Purpose; Scope; Application to All Participants
(a) This Section establishes binding rules of conduct designed to protect the integrity, fairness, and orderly operation of the Platform and its markets. You agree that your access to and use of the Platform is conditioned on continuous compliance with this Section.
(b) This Section applies to all users and participants without exception, including retail users, market makers, institutional liquidity providers, market creators, and any person or entity acting on their behalf or in concert with them, across all market categories and both Open Markets and Closed Group Markets (including the Members only markets of Towns).
(c) The prohibitions in this Section apply regardless of whether the conduct would violate the securities, commodities, or market-abuse laws of any particular jurisdiction. They are contractual obligations owed to the Platform and are independent of, and additional to, any obligation you may have under applicable law.
3.2 General Prohibition on Manipulative and Deceptive Conduct
You shall not, and shall not attempt to, directly or indirectly:
(a) engage in any act, practice, scheme, or course of conduct that operates or would operate as a fraud or deceit on the Platform or any participant;
(b) create, or attempt to create, a false, misleading, or artificial appearance of activity, volume, liquidity, price, or market interest in any market;
(c) manipulate, distort, or artificially influence the price, odds, or Resolution Outcome of any market, or the AMM's pricing mechanism; or
(d) engage in any conduct described in this Section, or in any substantially similar conduct intended to achieve a comparable result by other means.
For the avoidance of doubt, superior skill, research, analysis, or aggregation of lawfully obtained public information is not a violation of this Section.
3.3 Insider Trading; Material Non-Public Information (MNPI)
(a) Definition, MNPI. "Material Non-Public Information" or "MNPI" means any information concerning the subject matter, underlying event, or likely or actual Resolution Outcome of a market that: (i) has not been generally disseminated to, or made available to, the public; and (ii) a reasonable participant would consider important to a decision to acquire, hold, or dispose of a position in that market, or that would reasonably be expected to affect the market's price or outcome if it were made public. Information is "public" only once it has been broadly released through generally available channels and the market has had a reasonable opportunity to absorb it.
(b) Definition, Insider. An "Insider" is any person who possesses MNPI as a result of, or in breach of, a relationship of trust or confidence, employment, office, contract, agency, or fiduciary or similar duty, or who obtains MNPI through misappropriation, unauthorized access, theft, bribery, or any other improper means, including, without limitation, employees, officers, contractors, and agents of an organization whose announcement, decision, or event is the subject of a market; persons with advance or privileged knowledge of an event outcome; and government or official personnel with knowledge of an unannounced decision.
(c) Prohibition. You shall not acquire, dispose of, or hold any position in any market while in possession of MNPI relevant to that market. You shall not "tip" (that is, communicate, disclose, or make available MNPI to any other person) where you know or reasonably should know that the recipient may use it to trade. Trading by a recipient of a tip ("tippee") while in possession of such MNPI is equally prohibited.
(d) Illustrative examples. Without limiting the foregoing, the following are prohibited: trading a market on a corporate announcement, merger, or product release before it is publicly announced; trading on earnings, financial results, or "leaks" before public release; trading on an unannounced governmental, regulatory, judicial, or electoral decision or result before it is public; and trading any market whose outcome is not, at the time of trading, resolvable from public information available to participants generally.
(e) Consistency with listing policy. Markets whose resolution depends on non-public or privileged information are independently prohibited from being created or listed under the Content Policy. This Section governs conduct; the Content Policy governs market eligibility; both apply.
3.4 Creator-Resolved Markets; Resolver Conduct and Disclosure
(a) Positions permitted, subject to disclosure. A market creator who serves as the resolver of a Closed Group Market resolved under the Authoritative (Mode B) method is permitted to hold a position in that market. Such a creator is not, by reason of holding a position alone, in violation of this Section.
(b) Mandatory disclosure. As a condition of creating or resolving any such market, the following disclosure must be, and will be, displayed on the market's card before any participant takes a position: "This market is resolved by its creator, who may hold a position." By participating, you acknowledge this arrangement and the associated conflict of interest, and that the creator's resolution is final and non-contestable as provided in Section 2 (Oracle Architecture and Event Resolution).
(c) Resolution deadline. A creator-resolver must resolve the market within seven (7) days after the market's stated end date. Only that creator may stop further position-taking or void an Authoritative market. If the creator fails to act, the Platform may stop relaying requests, restrict or terminate the creator's account, and pursue its contractual remedies, but it cannot substitute itself or another party as resolver or force an on-chain outcome or void.
(d) Prohibited resolver conduct. Notwithstanding subsection (a), a creator-resolver shall not: (i) resolve a market other than in good faith and in accordance with the market's stated resolution criteria and the genuine, real-world outcome; (ii) knowingly resolve a market to a false or fabricated outcome, or otherwise dishonestly, in order to benefit a position held by the creator or any related person; or (iii) take any action to manipulate, procure, or distort the underlying real-world event or its reporting. Conduct prohibited by this subsection is a market-integrity violation subject to enforcement under Section 3.9, independent of the finality of the Resolution Outcome.
3.5 Market Structure; What Is and Is Not Possible on the Platform
This subsection is descriptive, and frames the prohibitions that follow.
(a) The Platform's markets are buy-only. You acquire a position by staking collateral against a chosen outcome, priced by an automated market maker. There is no order book, no bid or offer, no quoting, no order cancellation, no selling, no shorting, and no secondary transfer: positions are recorded to the acquiring address and are not transferable. Once acquired, a position is held to resolution.
(b) It follows that certain practices prohibited on order-driven venues are structurally impossible here, and this Section does not purport to police them. In particular there are no resting orders to spoof or layer, no quotes to flicker, and no way to trade a position back and forth to fabricate volume between accounts, because a position cannot be sold or transferred at all.
(c) Nothing in this subsection limits Section 3.2. If the Platform later offers any order-driven, transferable, or secondary-market functionality, the prohibitions in this Section 3 extend to it in full, including the order-based practices this subsection notes are presently impossible.
(d) Audience-restricted markets. A market may be created as a Members only market of a Town, in which case the Platform acquires positions in it only for the Town's members. The restriction is applied by the Interface and the Platform's services, at the moment you ask the Platform to acquire a position: the Platform checks the Town's membership, which it records in its own systems, and declines to prepare or relay a purchase for an address that is not a member. The restriction is not enforced by the Protocol Contracts. A Members only market is deployed without an on-chain allowlist, so its contract accepts a position from any address that interacts with it directly, outside the Platform, and the Platform neither controls nor gives any undertaking about such interaction. The Town a market belongs to is fixed for the life of the market: it is set when the market is created and cannot afterwards be swapped, replaced, or removed — not by the Town's admins, not by the market's creator, and not by the Platform. The Town's membership is not fixed. It is administered by the Town's admins (the Town's creator and anyone they appoint), who may admit, remove, and ban addresses at their discretion and without notice, and who choose whether the Town admits anyone who asks (Open) or only those invited or approved (Invite / apply); the restriction applies the membership current at the moment of acquisition. The Platform does not administer Towns on their admins' behalf, does not adjudicate between an admin and a member, and gives no undertaking that any person will be admitted to a Town or kept in one.
(e) Removal restricts acquisition, and nothing else. If your address ceases to be a member of a Town, including because it was banned, the only consequence is that the Platform will no longer acquire positions for you in that Town's Members only markets. Every position you already hold is unaffected, and your right to claim its payout is unaffected. The Platform checks membership on acquisition only. The claim function of the Protocol Contracts is permissionless and is not restricted to members: it pays the holder of a position, and neither a Town's admins nor the Platform can block it, redirect its payout, or reverse it (Section 2.6(d) and (f)). Removal is therefore not a forfeiture, a cancellation, a settlement, or a return of your stake, and no refund or other entitlement arises from it. Your positions in that Town's markets resolve and pay exactly as they would have had you remained a member, and the Interface continues to show you a market in which you hold a position.
(f) An audience restriction is not confidentiality. A Members only market is not private in any reliable sense. The market's contract and on-chain parameters, every position taken in it, and the address that took each one are recorded on a public Blockchain and are readable by anyone, member or not, whether or not the Interface displays them. A Town's membership, and a market's question, rules, and accompanying narrative, are held by the Platform and shown through the Interface only to those the restriction admits, but the Platform gives no undertaking that they will remain confidential, and any member may share them. What the restriction controls is who may acquire a position through the Platform, and to whom the Interface shows the market; it does not prevent anyone from reading what is recorded on the Blockchain. Do not treat a Town as a confidential, non-public, or off-the-record venue, and do not put into a market's question, rules, or accompanying narrative anything you would not publish. Section 3.1 applies inside a Town exactly as it applies to a public market, and a Town is not a permitted venue for conduct this Section 3 prohibits.
(g) Invitations are personal, single-use, and not transferable. A Town's admins may invite a person by handle, by wallet address, or by email address. An invitation so addressed is bound to the identifier it names: it may be accepted once, only by the account holding that identifier, and it lapses on the expiry the admin set. Passing an invitation to somebody else — forwarding the message, publishing the link, or handing over the code it carries — admits nobody, and attempting to redeem an invitation addressed to another person is a breach of these Terms. An admin may additionally mint a shareable invite link, which by design admits whoever holds it for as many uses as the admin allowed; the distinction is stated in the Interface, and an admin who circulates a shareable link is responsible for who obtains it. Nothing in this subsection obliges the Platform to deliver any invitation, to retain one that has lapsed, or to reinstate one an admin has withdrawn.
(h) Inviting somebody by email address is your act, not ours. If you invite a person by email address, you are supplying us with that address for the sole purpose of sending one message telling them who invited them and to what, and you confirm you are entitled to do so. We send that message once, we do not add the address to any mailing list, and we do not use it for any other purpose (see the Privacy Policy, §1.3.7). We are not the sender's agent: we do not vouch for a Town, its admins, or its markets, we do not verify that an invitation was welcome, and an invitation is not an endorsement, recommendation, or solicitation by the Platform. Accepting one places you in a Town on the terms of subsections (d) to (f) above — in particular, a Town is not confidential, every position taken in its markets is recorded on a public Blockchain, and its membership and markets may be shared by any member.
3.6 Volume, Price, and Liquidity Manipulation
(a) Fictitious volume through controlled addresses. You shall not stake through multiple addresses, accounts, or entities under your ownership, control, or coordination (or arrange for another person to stake) for the purpose of inflating a market's recorded volume, creating a misleading appearance of participation or interest, or influencing any volume-dependent economic term of a market. You acknowledge that the Platform's settlement fee rate falls as a market's volume rises, and that inflating volume to reduce the fee payable on your own position is a violation of this subsection.
(b) Pricing manipulation. You shall not stake, or arrange staking, with the purpose or effect of moving a market's automated-market-maker price away from your genuine view of the outcome in order to mislead other participants, to induce or discourage their participation, or to obtain a more favourable price on a further position, whether your own or that of a person acting in concert with you.
(c) Positioning ahead of a resolution you can foresee or influence. You shall not stake in a market where you know, or have arranged, that a resolution is imminent or determined and that knowledge is not public. This is in addition to, and does not narrow, Section 3.3 (MNPI) and Section 3.8 (self-influenced outcomes).
(d) Genuine conviction is not a violation. Taking a large position, taking positions across many markets, staking at any time a market is open, or being correct, is not a violation of this Section. What this Section prohibits is staking whose purpose is to create a false impression or to extract value from a mechanism rather than from a genuine view of the outcome. Violation is determined by purpose and course of conduct, not by size or frequency.
3.7 Sybil Attacks; Multiple Accounts; Collusion
(a) You shall not create, control, or use multiple accounts, wallets, identities, or personas ("Sybil" conduct) to: (i) evade or exceed any position limit, per-account limit, rate limit, spending limit, eligibility restriction, or geographic control that the Platform imposes and discloses from time to time (such limits being applied by the Platform at the account and Relay Service level rather than by the Protocol Contracts, which impose none); (ii) obtain, multiply, or manipulate protocol rewards, incentives, referrals, or promotional benefits; (iii) circumvent identity-verification or eligibility requirements; or (iv) simulate independent participation, or facilitate wash trading, collusion, or any other conduct prohibited by this Section.
(b) You shall not act in concert or collude with any other person to accomplish, indirectly or collectively, anything this Section prohibits an individual from doing.
(c) Where conduct prohibited by this Section touches a promotional reward, referral, or season standing, the forfeiture remedy in Section 6.14(i) applies in addition to the remedies in Section 3.9.
3.8 Self-Influenced and Manipulable Outcomes
You shall not take a position in, or arrange for another to take a position in, any market whose real-world outcome you are able to directly cause, influence, or determine through your own conduct, where the purpose or effect is to profit from bringing about the outcome. This provision operates at the level of conduct and is in addition to the Content Policy, under which self-referential and directly manipulable markets are prohibited from listing.
3.9 Investigation, Sanctions, and Enforcement
(a) Right to investigate. The Platform reserves the absolute right, in its sole discretion and at any time, to monitor, review, and investigate any account, wallet, order, transaction, market, or pattern of activity that it suspects may violate this Section, and to request information, documentation, or explanation from any participant. You agree to cooperate promptly and in good faith with any such investigation.
(b) Interim measures. Pending or during an investigation, the Platform may, without prior notice, suspend or restrict an account, freeze balances, halt withdrawals, cancel or reject orders, and pause or restrict access to one or more markets. The Platform's interim and enforcement measures under this Section operate at the level of your account, the Interface, the Relay Service, and any allowlist. They do not operate at the level of settlement or claims: where a market has settled, the claim function in the Protocol Contracts is permissionless and the Platform cannot withhold, delay, or intercept a distribution. Where assets have been or will be distributed on-chain to your Wallet, the Platform does not represent that it can seize or reverse them; its remedies in respect of such assets are the clawback-as-debt, set-off, and legal remedies described in this Section, and the allowlist and account-level measures that prevent further participation.
(c) Sanctions. Where the Platform determines, in its reasonable discretion, that a participant has violated this Section, it may take any one or more of the following actions, without limitation and in addition to any other remedy: (i) void, cancel, reverse, or unwind any manipulative, affected, or tainted trade, order, or position; (ii) suspend, restrict, or permanently terminate the participant's account and access to the Platform; (iii) confiscate and forfeit funds, balances, winnings, proceeds, and any protocol rewards or incentives that were obtained through, derived from, or tainted by the violation; (iv) where the affected market has not yet settled, stop further position-taking in it or void it with refunds under Section 2.4, within the limits of Section 2.6(d) and (e). A settled market cannot be adjusted or re-settled by anyone; (v) recover from the participant the Platform's reasonable costs of investigation and any losses caused to the Platform or other participants; and (vi) refuse future access to the Platform.
(d) Standard and finality. The Platform's determinations under this Section are administrative and contractual; they do not require proof to any criminal or civil evidentiary standard, and are not a prerequisite to, nor precluded by, any governmental or judicial proceeding. Enforcement determinations are final as between you and the Platform, subject to the dispute-resolution provisions of these Terms (Section 6); provided that the Platform may seek injunctive or equitable relief to prevent or stop ongoing market-integrity harm notwithstanding any agreement to arbitrate.
(e) Relationship to other forfeiture rights. This Section is in addition to, and does not limit, any other right of suspension, termination, or forfeiture under these Terms, including forfeiture arising from prohibited-user status or circumvention of eligibility or geographic controls under Section 4.
(f) Clawback; repayment as a debt. Any funds, winnings, proceeds, or protocol rewards obtained through, derived from, or attributable to a violation of this Section (including amounts already claimed, withdrawn, or transferred on-chain) constitute a debt immediately due and payable by you to the Platform. The Platform may recover that debt by set-off against any balance, position, distribution, or reward you now hold or later acquire on the Platform, by withholding future distributions, and by legal or arbitral action, together with interest and the reasonable costs of recovery. This obligation survives termination of your account.
3.10 Regulatory Cooperation; Law Enforcement; Reporting and Data Sharing
(a) Cooperation. The Platform will cooperate with, and comply with lawful requests, orders, subpoenas, and directives from, competent courts, regulators, financial-intelligence units, tax authorities, and law-enforcement agencies, in Costa Rica and in other jurisdictions where the Platform is legally required to cooperate.
(b) Reporting. The Platform may, and where legally required will, report suspected market manipulation, insider trading, fraud, money laundering, sanctions evasion, or other unlawful activity to the appropriate authorities.
(c) Data sharing. You consent to the Platform's collection, retention, and disclosure of your account, identity, transaction, order, device, and activity data to such authorities, and to relevant third parties, where the Platform is legally required to do so or where it reasonably believes disclosure is necessary to investigate, prevent, or address suspected violations of this Section, fraud, or unlawful activity, or to protect the rights, property, or safety of the Platform, its users, or the public. Such disclosures are further governed by the Platform's Privacy Policy.
(d) Records. The Platform may retain records of accounts, communications, and transactions for the periods required by applicable law or as reasonably necessary to comply with this Section, including after account closure.
3.11 No Waiver; Cumulative Remedies; Survival
(a) The Platform's failure or delay in enforcing any provision of this Section is not a waiver of its right to enforce it later. The rights and remedies in this Section are cumulative and in addition to all other rights and remedies available at law, in equity, or under these Terms.
(b) This Section, together with the Platform's investigatory, enforcement, forfeiture, reporting, and record-retention rights, survives the suspension or termination of your account and the closure of your relationship with the Platform.
4. User Eligibility, Geographic Restrictions, and Anti-Circumvention
4.1 Eligibility Representations and Warranties
By accessing or using the Platform, and each time you do so, you represent, warrant, and covenant to the Platform that:
(a) Age and capacity. You are at least 18 years of age, or the age of majority in your jurisdiction of residence if higher, and you have the full legal capacity, right, and authority to enter into and be bound by these Terms. If you access the Platform on behalf of an entity, you have authority to bind that entity, and "you" refers to both you and that entity.
(b) Not a Restricted Person. You are not a citizen or resident of, incorporated or organized in, nor physically located or present in, any Restricted Jurisdiction (as defined in Section 4.2), and you are not accessing the Platform on behalf of, or for the benefit of, any person who is a citizen, resident, or located in a Restricted Jurisdiction.
(c) US persons. You are not a United States citizen, a United States resident, a "US person," or otherwise subject to the jurisdiction of the United States for these purposes, regardless of your current physical location.
(d) Sanctions. You are not, and are not owned or controlled by, acting on behalf of, or otherwise associated with, any person who is: (i) named on the U.S. Treasury Office of Foreign Assets Control (OFAC) Specially Designated Nationals and Blocked Persons List or any other OFAC list; or (ii) named on, or subject to, any sanctions list or program administered by the United Nations, the European Union or any EU member state, or the United Kingdom (including HM Treasury); or (iii) otherwise the target of any applicable economic or trade sanctions.
(e) Lawful use. Your access to and use of the Platform is not prohibited by, and does not violate, any law applicable to you, and any funds or assets you use on the Platform are lawfully owned by you and derived from legitimate sources.
(f) Self-certification. At registration you are required to confirm, by separate affirmative act and not by continuing to browse, that you are at least 18 years of age and that you accept these Terms. Your confirmation is a binding representation under this Section whether or not it is separately recorded, and the representations in this Section bind you in any event on each occasion you access or use the Platform under subsection (g) and the acceptance provisions of Section 7. The Platform records each such confirmation together with the identifier and version of the document accepted, a cryptographic digest of the exact text displayed to you, and the time of acceptance, and retains that record as evidence of the representations in this Section (see the Privacy Policy, §1.2.3). A registration submitted without both confirmations is refused.
Where a document named in this Section is revised, your confirmation of the earlier version is not a confirmation of the revised one. On your next signed-in visit after such a revision you will be asked to confirm again, by the same separate affirmative act, and until you do the Platform's signed-in features are withheld from you: the interface presents the confirmation and nothing else, and buying a position and creating a market are each separately refused by the Platform's backend, which requires, for either, a recorded acceptance of the exact document version and text it served. That backend refusal does not depend on the interface: it applies to any request that reaches the Platform, however it is made. Reading the Platform and reading the documents themselves remain available to you throughout, and you may sign out and continue to read without confirming. Declining to confirm is not a breach of these Terms; it withholds signed-in access until you confirm. Nothing in this subsection affects your funds. Positions you already hold and any amount owed to you remain yours and remain claimable directly from the market contract, consistent with Section 2.2(d) — the Platform cannot and does not condition access to your funds on your confirming a revised document.
(g) Continuing nature. Each representation and warranty in this Section is made on each occasion you access or use the Platform and is deemed continuously repeated for so long as you maintain an account or hold any position or balance. If any representation or warranty becomes untrue at any time, you must immediately cease all use of the Platform and, where applicable, close your positions and withdraw in accordance with these Terms.
4.2 Restricted Jurisdictions
(a) Definition. "Restricted Jurisdiction" means each of the following, and any person who is a citizen or resident of, or physically located in, any of them:
(i) the United States of America and its territories and possessions, and all US citizens and US residents wherever located;
(ii) any country or territory that is the subject of comprehensive economic or trade sanctions administered by OFAC or otherwise (including, without limitation, Iran, Syria, Cuba, North Korea, and the Crimea, Donetsk, and Luhansk regions), and any person subject to sanctions as described in Section 4.1(d);
(iii) the following jurisdictions, which are prohibited as a matter of Platform policy: Russia, Belarus, all member states of the European Union and the European Economic Area, the United Kingdom, Australia, Singapore, Taiwan, Thailand, Ontario (Canada), and Brazil; and
(iv) any jurisdiction in which prediction markets, event contracts, or real-money purchases of outcome positions are explicitly prohibited or unlawful, or in which offering or using the Platform would require a license, registration, or authorization that the Platform does not hold.
(b) Living Prohibited Jurisdictions List. The Platform maintains a separate Prohibited Jurisdictions List that identifies specific jurisdictions falling within subsection (a), including additional restricted jurisdictions. That list is incorporated into these Terms by reference and forms part of them. The Platform may amend, expand, or update the Prohibited Jurisdictions List at any time, in its sole discretion, without notice and without amending these Terms, and the then-current version governs. The Prohibited Jurisdictions List supplements, and does not limit, the categories in subsection (a); a jurisdiction's absence from the list does not authorize access by any person otherwise within subsection (a).
(c) User responsibility. You are solely responsible for determining, and for ensuring on an ongoing basis, that your access to and use of the Platform is lawful in your jurisdiction and that you are not a Restricted Person. Ignorance of your status or of applicable law is not a defense.
4.3 No Offer, Solicitation, or Availability Where Prohibited
(a) The Platform, its Interface, and all content are intended solely for eligible users in jurisdictions where access is lawful. Making the Interface accessible does not constitute, and shall not be construed as, an offer, solicitation, inducement, recommendation, or invitation by the Platform to any person to use the Platform, take any position, or enter into any transaction in any jurisdiction where such an offer, solicitation, or activity would be unlawful or would subject the Platform to any registration, licensing, or authorization requirement.
(b) The Platform makes no representation that the Interface or any market is appropriate, available, or permitted for use in any particular location. Those who access the Platform do so on their own initiative and are responsible for compliance with local law.
(c) Links, previews, and indexing. Public market and event pages may be linked, shared, indexed by search engines, and displayed by third-party platforms as a link preview or share card carrying the market's question and its then-current figures (Section 5.3(e)). None of that is an offer, solicitation, inducement, recommendation, or invitation in any place where the preview or the indexed page is seen, and none of it makes the Platform available to any person. Whoever shares a link does so on their own initiative; the Platform does not direct, and cannot restrict, where a link travels. Access remains governed by Sections 4.1 and 4.5, and every authenticated action is refused where the determined country is a Restricted Jurisdiction or anonymizing infrastructure is detected — so seeing a market is not, and never becomes, permission to participate in it (Section 4.5(b)).
4.4 Prohibition on Circumvention
(a) Absolute prohibition. You shall not, under any circumstances, use, deploy, or rely on any Virtual Private Network (VPN), Tor or other onion-routing network, proxy or reverse-proxy server, virtual or remote machine, SmartDNS, IP-spoofing or IP-masking tool, GPS- or location-spoofing tool, or any other software, hardware, service, technique, or methodology (of any kind, whether now existing or later developed) that is designed or used to disguise, alter, relocate, mask, obfuscate, or misrepresent your true IP address, device location, or physical location, for the purpose or with the effect of accessing the Platform from, or concealing that you are accessing it from, a Restricted Jurisdiction, or of otherwise bypassing, defeating, or interfering with the Platform's geographic or eligibility controls.
(b) No permitted use. There is no permitted use of the tools or techniques described in subsection (a) to access the Platform. This prohibition applies regardless of your actual citizenship, residence, or eligibility, and regardless of your stated reason.
(c) Material breach and fraudulent access. Any use or attempted use of any means described in subsection (a), and any other attempt to circumvent, disable, or evade the Platform's geographic or eligibility controls, constitutes a material breach of these Terms and fraudulent and unauthorized access to the Platform. Such conduct is a standalone violation, independent of whether you would otherwise have been eligible, and independent of any actual loss to the Platform.
(d) Deemed misrepresentation. Any person who accesses the Platform by such means is deemed to have knowingly made false representations under Section 4.1 and to have obtained access and any resulting positions, balances, winnings, or rewards through fraud.
4.5 Compliance, Detection, and Monitoring Measures
(a) What the Platform does. The Platform determines the country associated with your network connection at its content-delivery edge and enforces eligibility on that basis at its backend. Every authenticated action (including registration, taking a position, creating a market, and withdrawing) is checked, and is refused where the determined country is a Restricted Jurisdiction or where anonymizing infrastructure is detected. The Platform also applies automated risk and abuse controls, including per-address rate and spending limits at the Relay Service.
(b) Browsing is not participation. The Platform may permit public, unauthenticated pages to be viewed from any location. Viewing the Interface is not permission to use it. No such page constitutes an offer or solicitation in any jurisdiction (see Section 4.3), and the ability to load a page from a Restricted Jurisdiction does not authorize registration, participation, or any other authenticated action, all of which are refused.
(c) Consent to processing. You consent to the collection and processing of your IP address, the country derived from it, and related device, network, and risk signals for the purposes described in this Section, as further described in the Privacy Policy.
(d) No detection is perfect. No geolocation or anonymizer-detection technology intercepts every impermissible access. The Platform's controls are not warranted to do so, and any failure of a control to refuse a particular action does not constitute permission to use the Platform, a waiver of any provision of this Section, or consent by the Platform to your use. You remain fully responsible for your eligibility and compliance at all times, and the Platform's failure to detect a particular circumvention does not make your access authorized. Where a person defeats these controls, Sections 4.4, 4.6, and 4.7 apply in full.
4.6 Remedies and Termination
(a) Upon detecting, or upon reasonably suspecting, any breach of this Section, including any eligibility misrepresentation, any access from or association with a Restricted Jurisdiction, or any circumvention or attempted circumvention under Section 4.4, the Platform may, immediately, in its sole discretion, and without prior notice or liability, take any one or more of the following actions:
(i) block, restrict, or ban the associated IP address, address range, device, or network;
(ii) suspend, restrict, freeze, or permanently terminate your account and access;
(iii) blacklist, block, or restrict any associated wallet address or on-chain identifier;
(iv) cancel, reject, void, or unwind any pending or open orders and positions;
(v) withhold, reverse, or forfeit funds, balances, winnings, proceeds, and any protocol rewards held in or credited to the account, to the extent attributable to or tainted by the breach; and
(vi) report the conduct to, and cooperate with, competent authorities.
(b) These remedies are cumulative, are in addition to all other rights and remedies available to the Platform under these Terms, at law, or in equity, and may be exercised without waiving any other right. Amounts forfeited under this Section are not recoverable by you. The Platform's remedies under this Section operate at the level of your account, the Interface, the Relay Service, any allowlist, and any balance, position, distribution, or reward administered by or claimable through the Platform; where assets have already been distributed on-chain to your Wallet, the Platform does not represent that it can seize or reverse them, and its remedies in respect of such assets are the clawback, set-off, and legal remedies described in Section 3.9.
4.7 User Indemnification for Geo-Bypass and Ineligible Access
You agree to indemnify, defend, and hold harmless the Platform, Vivaach SRL, its parent, affiliates, and their respective officers, directors, employees, and agents (the "Indemnified Parties") from and against any and all claims, demands, actions, investigations, proceedings, losses, liabilities, damages, fines, penalties, sanctions, taxes, costs, and expenses (including reasonable legal and professional fees and the costs of responding to regulators or law enforcement) that any Indemnified Party incurs, suffers, or becomes subject to arising out of or relating to: (a) your breach of any representation, warranty, or covenant in this Section; (b) your access to or use of the Platform from, or while a citizen or resident of, a Restricted Jurisdiction; or (c) your use or attempted use of any VPN, proxy, or other means described in Section 4.4 to circumvent the Platform's geographic or eligibility controls. This indemnity is a direct, primary obligation, survives termination of your account and these Terms, and applies whether or not the Platform is also at fault, except to the extent a loss is finally determined by a competent authority to have been caused solely by the Platform's own gross negligence or willful misconduct.
4.8 Reservation of KYC / AML Rights
(a) No identity verification at present. You should understand, and these Terms do not obscure, that the Platform does not presently conduct identity verification ("Know Your Customer" / KYC), sanctions or watchlist screening, source-of-funds checks, or age-document verification of any user. Eligibility is presently enforced by the geographic and anti-circumvention controls in Section 4.5 and by your own representations and self-certifications under Section 4.1. The absence of verification is not a representation by the Platform that any user is eligible, nor that any user has been screened.
(b) Reserved right. The Platform reserves the right, at any time and in its sole discretion, to require you to complete identity verification, sanctions and watchlist screening, source-of-funds checks, and/or to provide satisfactory proof of your age, identity, citizenship, residence, and current physical location, as a condition of continued access, of participating in any market, or of any other action. Where the Platform introduces such a requirement, it will describe it in the Platform's compliance procedures and, where the requirement is material, will notify you under Section 7.3.
(c) The Platform may decline, delay, suspend, or condition market participation or any other action pending satisfactory completion of any verification it requires. If you fail or refuse to provide requested information, or if verification reveals that you are or have become a Restricted Person or otherwise ineligible, the Platform may exercise any remedy in Section 4.6.
(d) Screening the true participant. Where the Platform applies any check, allowlist, or restriction to a transaction, it applies it to the true participant (the person whose cryptographic signature authorizes the transaction) and not to the Relay Service or any other intermediary that submits it. The Protocol Contracts enforce any per-market allowlist against that same signing address, never against the submitting party.
(e) No authorization of prohibited access. No provision of these Terms authorizes the Platform to permit access or participation by a person known or reasonably suspected to be a Restricted Person.
4.9 Survival
The representations, warranties, covenants, indemnities, and Platform rights in this Section survive the suspension or termination of your account and the closure of your relationship with the Platform, and continue to apply to conduct occurring during your use of the Platform.
5. Technical Disclaimers, Smart Contract Risks, and Protocol Operations
Capitalized terms used in this Section (including Interface, Protocol Contracts, Blockchain, Wallet, and Relay Service) have the meanings given in Section 1.
5.1 "As Is" and "As Available"; Disclaimer of Warranties
(a) The Interface, all software, and the Protocol Contracts are provided strictly on an "AS IS" and "AS AVAILABLE" basis, with all faults and without warranty of any kind. To the maximum extent permitted by applicable law, the Platform disclaims all warranties, representations, and conditions of any kind, whether express, implied, statutory, or arising from course of dealing or usage of trade, including any implied warranties or conditions of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, and non-infringement.
(b) Without limiting the foregoing, the Platform makes no warranty and gives no assurance that the Interface, the Protocol Contracts, or the Blockchain will be uninterrupted, timely, secure, error-free, or free of harmful components, or that they will meet any requirement of performance, uptime, availability, reliability, or security, or that any defect will be corrected. Any material obtained through the Interface is used at your own discretion and risk.
(c) No advice or information, whether oral or written, obtained from the Platform or through the Interface, creates any warranty not expressly stated in these Terms.
5.2 Non-Custodial Model
(a) The Platform operates on a non-custodial basis. You retain sole and exclusive possession and control of your Wallet, private keys, and assets at all times. The Platform does not take custody, possession, or control of your assets or private keys, does not hold balances on your behalf, and cannot access, freeze, move, recover, or reverse your assets or transactions except to the extent, if any, achievable through the Protocol Contracts' own coded functions. Nothing in this Section limits the Platform's account-level, Interface-level, Relay-Service-level, and allowlist-level enforcement measures under Sections 3, 4, and 6, or its clawback and set-off rights under Section 3.9; none of those measures involves custody of your assets.
(b) Every transaction is initiated by your own cryptographic signature and executes directly through the Protocol Contracts on the Blockchain. You, and not the Platform, are the sole party responsible for your transactions and their consequences.
5.3 Interface and Protocol Contracts Are Legally Distinct
(a) Separation. The Interface is operated by the Platform. The Protocol Contracts are autonomous software that runs independently on the Blockchain and is not within the Platform's operational custody or control for liability purposes. The Platform's provision of the Interface is a convenience that facilitates your interaction with the Protocol Contracts; it is not a representation that the Platform operates, or is responsible for the operation of, the Protocol Contracts or the Blockchain.
(b) Right to modify or take down the Interface. The Platform may, at any time and in its sole discretion, and without prior notice or liability, suspend, restrict, disable, modify, degrade, geo-fence, or discontinue the Interface, or any feature of it, in whole or in part, including for maintenance, upgrades, security, or legal or regulatory compliance.
(c) No effect on on-chain state. Any suspension, modification, restriction, or discontinuation of the Interface does not halt, alter, reverse, freeze, or otherwise affect the Protocol Contracts, which continue to operate autonomously on the Blockchain, and does not affect any position, balance, or entitlement recorded on the Blockchain. The unavailability of the Interface does not entitle you to any refund, damages, or other remedy. Where technically possible, you may be able to interact directly with the Protocol Contracts by other means; you do so entirely at your own risk and subject to your continuing eligibility and conduct obligations under Sections 3 and 4.
(d) No warranty of accuracy. The Interface presents data (including prices, implied probabilities, quotes, positions, and market states) that is derived from indexing and off-chain computation and may be delayed, incomplete, cached, or inaccurate, and may differ from the authoritative on-chain state of the Protocol Contracts. The on-chain state governs. You should not rely on the Interface as the definitive record of any market, position, or balance.
(e) Share cards and link previews. Where a link to a market or event is shared, the Platform generates a preview image carrying that market's question and its then-current prices and figures. That image is produced by a rendering service operated separately from the Interface, is cached for up to one week and for as long as the platform displaying it chooses to retain it, and is displayed by third-party platforms the Platform does not control. Subsection (d) applies to it in full and with greater force: every figure on such an image is a snapshot of the moment it was rendered, is not live, and may be stale by days. The market page is the current display, the on-chain state governs over both, and the image is not a quote. Its appearance on any third-party platform is not an offer, solicitation, inducement, or recommendation, and is not a representation that the Platform is available to any person seeing it (Section 4.3, and Risk Disclosure §2.2(d)). The Platform does not control, and is not responsible for, whether or for how long a third-party platform caches, retains, re-displays, or crops such an image.
(f) Market summaries and narratives. Some market pages, and the swipe deck in particular, present a short restatement of the market as an assertion together with a narrative of the surrounding context. Both are authored by the Platform or by automated tooling it operates, are editorial rather than legal or contractual, and form no part of the market's Resolution Rule, its Designated Data Source, or its Source of Truth (Section 2). They may be incomplete, out of date, or wrong; the narrative in particular is maintained as an account of a developing situation and is not revised on any schedule. The market's own question, rules, and resolution criteria as disclosed in the market details govern over any restatement or narrative, and the on-chain state governs over all of them. Nothing in either is advice, a recommendation, an inducement, or a prediction by the Platform, and Section 5.1(c) applies to both.
5.4 Smart Contract and Blockchain Risks
(a) Smart contract risk. You acknowledge and expressly assume the risk that the Protocol Contracts may contain bugs, errors, defects, security vulnerabilities, or economic or design flaws, and may be subject to exploits, including reentrancy attacks, logic errors, oracle or price manipulation, flash-loan attacks, integer or rounding errors, and unexpected, unintended, or malicious code execution. Auditing, formal verification, testing, and monitoring reduce but do not eliminate these risks and are not a warranty of safety. Once deployed, the Protocol Contracts may behave in ways not anticipated, and their behavior is governed by their code as deployed.
Audit status — read this carefully. As at the effective date of these Terms, the Protocol Contracts have NOT completed an external, independent third-party security audit. The reference in this subsection to the effect of auditing is a general statement about the limits of auditing and is not a representation that any audit, formal verification, or independent review has been performed on the Protocol Contracts. You should not assume that any code deployed by the Platform has been independently reviewed. The absence of a completed external audit materially increases every risk described in this Section, and you accept that risk as a condition of using the Platform. Where an external audit is completed, the Platform will update this disclosure to reflect its scope, date, and findings.
(b) Blockchain network risk. You acknowledge and expressly assume the risks inherent in the Blockchain, including: network failures, outages, or degradation; chain splits, hard or soft forks, and protocol changes; block reorganizations ("reorgs"); consensus failures, 51% or majority attacks, and finality delays; on a Layer-2 network, sequencer downtime, censorship, delay, or failure and delays in settlement to the underlying chain; extreme volatility in gas or transaction fees; and network congestion resulting in delayed, stuck, dropped, reverted, or failed transactions. The Platform does not control the Blockchain and is not responsible for any of the foregoing.
(c) MEV, front-running, and sandwich attacks. You acknowledge that public blockchains permit third parties (including validators, sequencers, block builders, searchers, and other users) to observe pending transactions and to reorder, insert, delay, or censor transactions for profit, a set of practices commonly referred to as Maximal Extractable Value ("MEV"), including front-running, back-running, and "sandwich" attacks. The Platform does not control transaction ordering, inclusion, or timing, and disclaims all liability for the order, timing, or execution of any transaction, and for any loss, worsened price, or failed execution resulting from MEV or the conduct of any third party. Slippage protection encoded in your signed instruction limits, but does not eliminate, exposure to these practices.
5.5 Collateral, Stablecoin, and Yield Vault Risk
(a) Markets are collateralized in third-party stablecoins or other tokens that the Platform does not issue or control. You assume the risk that any such token may lose its peg, be frozen, blacklisted, censored, or become illiquid, non-transferable, or worthless, or may behave unexpectedly (including fee-on-transfer or rebasing behavior), independently of the Platform.
(b) Where idle collateral is deployed to third-party yield-bearing vaults (including ERC-4626 vaults), you assume the risk of loss, impairment, illiquidity, exploit, or failure of any such vault or its underlying protocol. Yield is not guaranteed, and the Platform does not warrant the performance, solvency, or availability of any vault or token. The vault used by a market, if any, is disclosed in that market's terms before you take a position.
(c) Two specific consequences you should understand. First, if a vault returns less than the principal deployed to it, payouts and refunds for the affected market are reduced pro rata across participants, and no participant has a claim against the Platform for the shortfall. Second, and more importantly: the Protocol Contracts require a market's collateral to be recovered from its vault before that market can resolve at all, including before it can be voided. A frozen, illiquid, or exploited vault therefore blocks resolution and refunds for an indefinite period, and neither the Platform nor any other person has any power to release the funds early. See Section 2.6(g).
(d) Yield earned on a market's collateral is distributed pro rata by stake to every participant in that market, whether their position won, lost, or the market was voided.
5.6 Gasless Execution and Transaction Relay
(a) How it works. A gasless flow is made available in which you authorize a transaction by signing an off-chain message (an EIP-3009 transfer authorization naming the specific market contract as recipient) and the Relay Service submits it to the Blockchain and pays the network gas from an operator-controlled account. Your entitlements are also claimable through the Protocol Contracts' permissionless claim function, meaning any party, including the Platform or a third party, may submit a claim on your behalf; in every case the funds are paid to you and to no one else.
(b) What your signature covers, and what it does not. Your EIP-3009 authorization fixes the payer, the recipient market, the amount, and the validity window, and can only ever be spent by the market contract you named. The Relay Service cannot redirect your funds, change the amount, or spend the authorization at any other market. You should also understand what your signature does not cover: the outcome selected, the minimum share count described in Section 5.8(a), and any sponsor attribution accompanying your authorization are transmitted by the Interface alongside it and are not themselves covered by that authorization. The Platform relays those parameters as instructed by the Interface you used. A transaction that cannot execute at or above that minimum reverts rather than executing on different terms, and your authorization is consumed.
(c) What the Relay Service records. To operate the relay and detect replays, the Platform stores each submitted authorization (including your signature, its nonce, your wallet address, the amount, and the selected outcome) together with the resulting transaction hash and outcome. A per-address daily gas budget is applied at submission, but the Platform stores no per-wallet record of gas consumption. The Platform's retention commitment for the data it does store is thirty (30) days after a submission reaches a terminal state, together with deletion on your request, in accordance with the Privacy Policy. That commitment is enforced automatically. A purge process running on the Platform's backend destroys the signature, its nonce, your wallet address, the amount, the selected outcome, and the validity window of every relay past that period, without any request from you and without operator action; what survives is the record that a relay occurred and its resulting transaction hash, which is in any event public on the Blockchain (see the Privacy Policy, §1.2.2 and §4.1). The thirty days is a floor, not a ceiling: a deletion request does not shorten it, because until an authorization can no longer be spent the record is what prevents it from being spent twice. Certain backend audit-log records are additionally subject to database-level controls that prevent deletion at the application layer, as disclosed in the Privacy Policy (§2.2(d)). Data written to the Blockchain by a relayed transaction is public, permanent, and cannot be deleted by the Platform or by anyone.
(d) No guarantee of relay; limits. The Relay Service is provided on an "AS IS" and "AS AVAILABLE" basis and may be delayed, rate-limited, congested, unavailable, or discontinued, and may fail or decline to submit any particular instruction, for any or no reason and without notice. The Platform applies per-address rate limits and daily gas limits, and may refuse to relay for a wallet it has restricted. The Platform does not guarantee that any signed instruction will be relayed, included in a block, or executed, or that it will be executed at any particular price, in any particular sequence, or within any particular time, or at all, and disclaims all liability for any delay, failure, non-inclusion, or non-execution. A refusal to relay does not entitle you to any remedy.
(e) If a relayed transaction fails. Where a relayed transaction reverts on-chain, your position is not created and your collateral is not taken: the Protocol Contracts credit the position before drawing the collateral, so a revert unwinds both together. The Platform does not owe you compensation for a failed, delayed, or refused relay, and gas expended on a reverted transaction is borne by the Platform.
(f) Direct interaction with the Protocol Contracts. The gasless flow is a convenience and not the exclusive means of interacting with the Protocol Contracts. The Protocol Contracts are public and permissionless: a technically capable person holding their own keys and their own gas may construct and submit an equivalent transaction directly, without the Relay Service. The Platform provides no tooling, interface, documentation, or support for doing so, and does not undertake to do so. Anyone interacting with the Protocol Contracts directly does so entirely at their own risk and expense, and remains subject to the eligibility and conduct obligations in Sections 3 and 4.
5.7 Third-Party Infrastructure and Dependencies
(a) Your access to and use of the Interface and the Protocol Contracts depends on infrastructure, software, and services operated by independent third parties, including, without limitation: remote procedure call (RPC) and node providers (for example, Alchemy and Infura); the embedded-wallet and authentication provider (Magic.link) that provisions and secures your non-custodial Wallet; web hosting, content-delivery, and domain-name services; indexing and data providers; oracles and data feeds; bridges; stablecoin issuers; transaction relay services; and yield-vault protocols.
(b) The Platform does not operate or control these third parties and, to the maximum extent permitted by applicable law, disclaims all liability for any act, omission, failure, downtime, latency, error, inaccuracy, outage, discontinuation, security incident, or compromise of any third-party infrastructure or service, and for any loss arising from your reliance on or use of it. Your use of third-party services may be governed by their own terms, which are solely between you and the relevant third party.
5.8 Slippage, Execution Delays, Failed and Cancelled Transactions
(a) You acknowledge that prices on an automated market maker move continuously, that the price at which a transaction executes may differ from the price displayed or quoted when you signed it ("slippage"), and that the interval between signing and on-chain execution may widen that difference. The Interface offers three price tolerances: 0.5%, 1%, and 3%. 0.5% applies unless you choose another of those three before you sign. You do not set the minimum number of shares, and you cannot choose any other tolerance. The minimum you will accept — expressed as a minimum number of outcome shares, and as the settlement value of that minimum where one is shown — is determined by the Platform from the tolerance in force for that purchase, is disclosed to you before you sign, and forms part of the instruction you authorize. Your choice is to authorize that instruction on the terms shown or not to authorize it; a transaction that cannot execute at or above that minimum reverts rather than executing on different terms (subsection (b)).
(b) You further acknowledge that transactions may fail, revert, be delayed, be dropped, be reordered, or effectively be cancelled: including where the minimum described in subsection (a) cannot be met, where gas is insufficient, where the network is congested, where a nonce or authorization is stale, or where market conditions change, and that a submitted instruction may not execute at all. The Platform does not guarantee execution, execution price, execution order, or execution timing, and disclaims all liability for slippage and for any failed, delayed, reverted, reordered, or non-executed transaction.
(c) Batched submissions. Where the Interface lets you assemble more than one position before committing to any of them, each position you confirm is submitted as a separate and independent transaction, one after another. There is no atomicity between them: each is quoted, authorized, and executed on its own, at its own price and at its own moment, and the failure, refusal, reversion, or non-execution of one neither cancels, reverses, nor undoes any other, whether already executed or still to be submitted. A refusal that concerns your account or eligibility rather than a single market will stop the remainder, and the Interface will report per position what was executed and what was not. The amount shown against each position at the point of confirmation is the amount you authorize for it, and subsections (a) and (b) apply to every position in the batch individually.
5.9 Wallet Security and User Responsibility
(a) You are solely and exclusively responsible for the security of your Wallet and your means of accessing it, including the secrecy and security of the email address and authentication factors you use to authenticate with the Platform's authentication provider, and of any private key or recovery material that provider makes available to you for export, together with the security of the devices, software, and hardware you use to access and sign transactions.
(b) The Platform does not have, and will never ask for, your private keys or seed phrase, has no ability to access your Wallet, and cannot recover, restore, reset, reverse, cancel, or restore access to your Wallet, keys, or assets, or any transaction, if they are lost, stolen, compromised, or misdirected.
(c) Embedded wallets. Your Wallet is an embedded, non-custodial account provisioned through the Platform's authentication provider (Magic.link) when you sign up; the Platform does not support bring-your-own or externally sourced wallets. Your control of that Wallet depends on your continued ability to authenticate with that provider, and on that provider's own systems and terms. Access is secured primarily through your authentication email and factors rather than through a user-held seed phrase, and loss of access to the email address or authentication factor associated with your account may result in permanent loss of access to the Wallet and to any assets it holds. The Platform does not hold your keys, cannot sign on your behalf, and cannot restore access. The authentication provider is a third party within the meaning of Section 5.7.
(d) To the maximum extent permitted by applicable law, the Platform is not responsible or liable for any loss arising from: loss, theft, or compromise of your private keys or seed phrase; phishing, social-engineering, malware, viruses, or compromised or counterfeit hardware or software; unauthorized access to your Wallet or devices; your approval or signing of malicious or erroneous transactions or token approvals; or your own error, including sending assets to an incorrect address or on an incorrect network. Blockchain transactions are generally irreversible; once submitted, they cannot be undone by the Platform.
5.10 Closing Your Account
(a) You may close your account at any time, from the account settings, subject only to subsection (c). No request, correspondence, or act by the Platform is required: the closure runs when you confirm it. The Privacy Policy (§2.2(f)) describes in full what it deletes and what it does not, and the confirmation screen enumerates the same before you confirm.
(b) A closure does not reach your Wallet, your positions, or anything on-chain. The Wallet is provisioned and held by the authentication provider named in Section 5.9(c), not by the Platform, and the Platform cannot delete it, cannot recover it, and has never held its keys. Closing your account removes the link between your account and that Wallet, and the Platform's ability to help you reach it afterwards is the same as its ability beforehand: none. Read Section 5.9 before you close an account, and establish your own recovery method with the authentication provider if you may ever need to sign with that Wallet again. Positions, settlements, and claims recorded on the Blockchain are unaffected and permanent (Section 5.4).
(c) A closure is refused while the account still holds value. Where you hold an open position, an unclaimed payout, or a balance in the Wallet, the closure is refused and the obstacle is named. It is refused on the same terms where the Platform could not confirm that the account holds none, because a check that did not answer is not an empty account. Positions are held to resolution and cannot be exited early (Section 2.2), so where an open position is the obstacle the closure becomes available once that market resolves and you have claimed. This refusal is for your protection and the Platform does not undertake to waive it.
(d) A closure is not a release, and it does not extinguish anything owed. Every provision of these Terms that survives termination continues to apply, including Sections 3.11, 4.9, 6.9, and 7.13, and the Platform's record-retention rights under Section 3.10(d). It does not withdraw a representation you made under Section 4.1, and it does not affect any claim, obligation, or liability arising before it.
(e) Signing in again creates a new account. Authenticating with the same email address after a closure produces a new and empty account and does not restore the closed one. Nothing from the closed account carries over, including any allowlist position or beta access.
5.11 Assumption of Risk; No Liability
To the maximum extent permitted by applicable law, you knowingly and voluntarily assume all risks described in this Section, and the Platform and the other Platform Parties shall have no liability to you for any loss arising out of or relating to any of them. This Section is subject to, and shall be read together with, the general limitation-of-liability provisions of these Terms (Section 6.8); nothing in this Section excludes or limits any liability that cannot lawfully be excluded or limited, and where any exclusion or limitation is held unenforceable, it applies to the maximum extent permitted and the remainder of this Section remains in effect.
6. Regulatory Preemption, Emergency Protocol Voids, Fees, Promotional Rewards, and Mandatory Dispute Resolution
6.1 Regulatory Status; No License
(a) The Platform is operated by Vivaach SRL, a company organized under the laws of Costa Rica, on an offshore basis for eligible non-US users. The Platform is not registered with, licensed by, or authorized by any regulatory authority in any jurisdiction, including the U.S. Commodity Futures Trading Commission (CFTC), the U.S. Securities and Exchange Commission (SEC), any U.S. state regulator, or any foreign financial, commodities, securities, gaming, or gambling regulator. No such registration, license, authorization, or supervision is claimed or implied.
(b) Nothing on the Platform constitutes, and the Platform does not operate as, a regulated exchange, designated contract market, swap execution facility, broker-dealer, futures commission merchant, money services business, bank, or licensed gaming operator. Nothing on the Platform is an offer or solicitation where such an offer or solicitation would be unlawful, as further provided in Section 4.
(c) Nothing on the Platform is, or should be construed as, financial, investment, legal, tax, or accounting advice. You are solely responsible for your own decisions.
6.2 Regulatory Preemption and Emergency Void Protocol
(a) Right to halt, suspend, or void. Notwithstanding anything to the contrary in these Terms, the Platform may, immediately and in its sole discretion, without prior notice and without liability, halt trading, suspend or disable one or more markets or contracts, freeze activity, cancel or reject pending orders, block addresses, restrict the Interface, and/or void one or more markets, in each case where the Platform receives or becomes subject to a court order, subpoena, injunction, seizure, freezing order, or other legal process, or a directive, request, or inquiry from any regulator, law-enforcement agency, or governmental authority (including, by way of example, the CFTC, the SEC, any state regulator, or any foreign regulator or law-enforcement body), or where the Platform reasonably determines that such action is necessary or advisable to comply with applicable law or legal process, or to avoid or mitigate actual or potential legal, regulatory, or reputational liability.
(b) Regulatory Force Majeure; Unlawful Outcome. If, prior to a market's resolution, a market is or becomes unlawful, prohibited, sanctioned, or, in the Platform's reasonable determination, contrary to applicable law, regulatory requirement, public policy, or the public interest, the Platform may void that market (a "Regulatory Void"). Upon a Regulatory Void:
(i) a Regulatory Void is effected through the same void mechanism, and produces the same refund, as a void under Section 2.4: each participant receives the full amount they staked in that market, at par and with no settlement fee deducted, plus their pro-rata share of any net yield. There is one refund computation in the Protocol Contracts, and both this Section and Section 2.4 resolve to it;
(ii) if the recoverable collateral available in the affected market is insufficient to return all staked principal in full (which can occur only through a third-party yield-venue shortfall as described in Section 5.5) returns are made pro rata among affected participants in proportion to their stake, and no participant has any claim against the Platform for any shortfall; and
(iii) you expressly acknowledge, agree, and waive any and all claims that you are NOT entitled to any anticipated, projected, unrealized, or "winning" payout, profit, expectation, mark-to-market value, or return in excess of your returned principal or collateral, whether or not the market would or might have resolved in your favor.
(c) No liability; sole remedy. The return described in subsection (b) is the sole and exclusive remedy of each participant in respect of a Regulatory Void. The Platform is not liable for exercising, declining to exercise, or delaying any right under this Section, and does not guarantee the timing of any return. Determinations under this Section are final and binding.
(d) Relationship to resolution voids. This Section governs voids driven by legal, regulatory, or public-interest grounds. Where a void could fall under both this Section and Section 2 (Oracle Architecture and Event Resolution), this Section controls as to the grounds and consequences of a Regulatory Void, and the returned amount is determined under subsection (b).
6.3 Fees
(a) Settlement fee. The Platform charges a single settlement fee, taken out of a settled market's proceeds at the time you claim, and never on entry. The applicable rate falls as the market's total volume rises, between a disclosed maximum and a disclosed minimum, and the rate applicable to a market is disclosed in the Interface before you take any position. The fee is computed by the Protocol Contracts from the market's volume; the Platform cannot vary it for an individual market or participant after the market is created.
(i) No fee on a void. Where a market is voided under Section 2.4 or Section 6.2, no settlement fee is charged and none is deducted from your refund. The fee exists only in the settlement computation, which a voided market never reaches.
(b) Gas. Network gas fees for relayed transactions are covered by the Platform's relayer, subject to the availability and disclaimer provisions of Section 5. The Platform does not warrant that gasless relay will remain available, and reserves the right to modify this arrangement prospectively.
(c) Other fees. Any additional fees (including any creation or withdrawal fees, if introduced) will be set out in the Fee Schedule or disclosures made available through the Interface, which form part of these Terms. The Platform may add or modify fees prospectively; the fees disclosed at the time you take a position govern that position.
(d) Fees taken are final. A settlement fee, once taken from a settled market's proceeds, is fully earned and is not refundable, credited, or offset by reason of any later event, except where a refund is expressly required by applicable law. Because no settlement fee is taken on a void, refunds under Section 2.4 and Section 6.2 contain no fee deduction and no question of fee refund arises.
6.4 Taxes
(a) You are solely responsible for determining, calculating, reporting, collecting, withholding, and paying any and all taxes, duties, levies, and similar governmental charges (whether federal, state, provincial, local, national, or international) that apply to your use of the Platform, your market participation, your winnings, proceeds, yield, rewards, or any gain or income arising from any of the foregoing.
(b) The Platform is not your tax adviser and does not provide tax advice. Amounts displayed or paid may be shown without regard to any tax that may apply to you. The Platform may withhold amounts and/or report information to tax or other authorities where it determines it is legally required to do so, and you agree to provide any information reasonably requested for that purpose. You agree that any tax liability arising from your activity is yours alone.
6.5 Governing Law
These Terms, and any Dispute, are governed by and construed in accordance with the laws of Costa Rica, without regard to its conflict-of-laws principles, subject only to any mandatory provisions of law that apply to you and cannot lawfully be excluded by agreement.
6.6 Mandatory Binding Individual Arbitration
(a) Agreement to arbitrate. You and the Platform agree that any and all Disputes shall be resolved exclusively by final and binding arbitration on an individual basis, and not in any court, except as expressly provided in subsection (g). This agreement to arbitrate is to be broadly construed and includes Disputes arising before, and surviving, the termination of these Terms.
(b) Administering institution and rules. The arbitration shall be administered by the International Chamber of Commerce (ICC) in accordance with the ICC Rules of Arbitration in effect at the time the arbitration is commenced, as modified by these Terms.
(c) Seat and venue. The seat and legal place of arbitration is San José, Costa Rica, and any hearings requiring physical presence shall be held there, subject to the tribunal's power to conduct proceedings by remote means.
(d) Language. The arbitration shall be conducted in English.
(e) Tribunal. The arbitration shall be decided by one (1) arbitrator appointed in accordance with the ICC Rules, unless those Rules require otherwise. The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or any part of it is void or voidable, and including the interpretation and scope of the Class Action and Collective Action Waiver in Section 6.7, except that whether a particular claim may proceed in court under Section 6.7(b) following a final determination that the waiver is unenforceable as to that claim shall be decided by a court of competent jurisdiction.
(f) JURY-TRIAL AND COURT WAIVER. YOU AND THE PLATFORM EACH KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVE ANY RIGHT TO A TRIAL BY JURY AND ANY RIGHT TO LITIGATE DISPUTES IN ANY COURT, except as expressly permitted by this Section. The arbitrator's award is final and binding, and judgment on the award may be entered and enforced in any court of competent jurisdiction, including under the New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards.
(g) Limited exception. Notwithstanding this agreement to arbitrate, the Platform may seek interim, injunctive, or equitable relief in a court of competent jurisdiction to prevent or stop actual or threatened infringement, misappropriation, or violation of its rights, market-integrity harm, or unauthorized or unlawful access, without waiving its right to arbitrate the merits.
(h) Confidentiality. The arbitration and its outcome shall be kept confidential, except as necessary to enforce the award or as required by law.
(i) Costs. The costs and fees of the arbitration shall be borne as provided by the ICC Rules and as allocated by the arbitrator, except that the arbitrator may allocate costs and fees other than in accordance with the ICC Rules where required to prevent this arbitration agreement from being rendered unenforceable under applicable mandatory law. The arbitration may be conducted by documents only or by videoconference at either party's election, to reduce the cost of the proceeding.
6.7 CLASS ACTION AND COLLECTIVE ACTION WAIVER
YOU AND THE PLATFORM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, MASS, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE PROCEEDING.
YOU EXPRESSLY WAIVE ANY RIGHT TO BRING, JOIN, PARTICIPATE IN, OR RECEIVE ANY RECOVERY FROM ANY CLASS ACTION, CLASS ARBITRATION, COLLECTIVE ACTION, CONSOLIDATED ACTION, MASS ACTION, OR REPRESENTATIVE ACTION AGAINST ANY OF THE RELEASED PARTIES (AS DEFINED IN SECTION 1).
(a) The arbitrator may not consolidate or join the claims of more than one person, may not preside over any form of class, collective, or representative proceeding, and may award relief only in favor of the individual party seeking relief and only to the extent necessary to resolve that party's individual claims.
(b) Effect of unenforceability. If a court or arbitrator finally determines that the prohibition on class, collective, or representative proceedings is unenforceable as to a particular claim or request for relief, that claim or request for relief (and only that claim or request for relief) shall proceed solely in the courts identified in Section 6.5 and shall be stayed pending individual arbitration of all other claims. Such a determination shall not render the agreement to arbitrate in Section 6.6 void as to any other claim, and all remaining claims shall continue in individual arbitration. In no event shall any class, collective, or representative proceeding be conducted in arbitration.
(c) The remainder of these Terms, including the Limitation of Liability in Section 6.8, survives any finding that any portion of this Section 6.7 is unenforceable.
6.8 LIMITATION OF LIABILITY AND DAMAGE CAP
(a) EXCLUSION OF DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE RELEASED PARTIES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, LOST WINNINGS OR ANTICIPATED PAYOUTS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THESE TERMS, THE PLATFORM, ANY MARKET, THE PROTOCOL CONTRACTS, OR YOUR USE OF OR INABILITY TO USE ANY OF THE FOREGOING, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT THE RELEASED PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(b) AGGREGATE CAP. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (I) IF THE TOTAL FEES ACTUALLY PAID BY YOU TO THE PLATFORM DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM ARE LESS THAN ONE HUNDRED UNITED STATES DOLLARS (US$100), THE TOTAL AGGREGATE LIABILITY OF THE RELEASED PARTIES TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE PLATFORM, ANY MARKET, OR YOUR USE OF ANY OF THE FOREGOING SHALL NOT EXCEED THE AMOUNT OF SUCH FEES ACTUALLY PAID; AND (II) IF SUCH FEES ARE EQUAL TO OR GREATER THAN ONE HUNDRED UNITED STATES DOLLARS (US$100), SUCH AGGREGATE LIABILITY SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (US$100) (OR ITS EQUIVALENT), REGARDLESS OF THE AMOUNT OF FEES ACTUALLY PAID.
(c) ESSENTIAL BASIS. THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION 6.8 ARE A FUNDAMENTAL BASIS OF THE BARGAIN BETWEEN YOU AND THE PLATFORM, ALLOCATE RISK BETWEEN THE PARTIES, AND APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
(d) Mandatory-law savings. Nothing in this Section excludes or limits any liability that cannot lawfully be excluded or limited under applicable law (including any liability for fraud or for death or personal injury caused by negligence where such exclusion is prohibited). Where any exclusion or limitation is held unenforceable, it applies to the maximum extent permitted, and the remainder of this Section remains in full force.
6.9 Severability; Survival
(a) Severability. If any provision of this Section is held invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect, except as otherwise expressly provided in Section 6.7(b).
(b) Survival. Sections 6.2 through 6.8 and Sections 6.10 through 6.12, and this Section 6.9, survive the termination or expiration of these Terms and the closure of your account.
6.10 Limitation Period
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANY DISPUTE MUST BE COMMENCED (BY FILING AN ARBITRATION REQUEST UNDER SECTION 6.6, OR, WHERE SECTION 6.7(b) APPLIES, BY FILING IN COURT) WITHIN ONE (1) YEAR AFTER THE DATE THE CLAIM FIRST ACCRUED, OR THE CLAIM IS PERMANENTLY AND IRREVOCABLY BARRED, REGARDLESS OF ANY STATUTE OR PERIOD OF LIMITATIONS THAT WOULD OTHERWISE APPLY. This Section does not shorten any limitation period that applicable law does not permit to be shortened, and applies to the maximum extent such a period may lawfully be shortened.
6.11 Release of Claims Arising from Other Users and Third Parties
To the maximum extent permitted by applicable law, you release the Released Parties from any and all claims, demands, and damages arising out of or in any way connected with a dispute you have with, or any act or omission of, another user, a market creator, a market maker or liquidity provider, or any other third party (including any Relay Service, wallet provider, RPC provider, oracle, or data source), whether arising from a Market, a Resolution Outcome, alleged manipulation, or otherwise. The Platform is not a party to, and assumes no responsibility for, disputes between users or between a user and a third party, and providing the Interface or the Protocol Contracts does not make the Platform a guarantor of any other participant's conduct.
6.12 No Chargebacks; Payment Disputes
Funding is presently effected in stablecoin on the Blockchain, and the Platform does not presently accept card, bank, or other fiat payment rails. To the maximum extent permitted by applicable law, you agree that a Dispute concerning any deposit, payment, or funding of your account must be pursued exclusively under Sections 6.5 through 6.8 and not by way of chargeback, payment reversal, or dispute initiated with any card network, bank, or payment service provider. You agree not to initiate any such chargeback or reversal in respect of a validly authorized transaction. If you initiate a chargeback or reversal in breach of this Section, the Platform may suspend your account, recover the disputed amount and its associated costs as a debt under Section 3.9(f), and treat the breach as grounds for termination.
6.13 No Guarantee; No Fiduciary Duty
Nothing in these Terms, and no feature, tool, disclosure, or communication of the Platform, creates any fiduciary, advisory, custodial, or trust duty running from the Platform to you. The Platform does not guarantee the profitability of any position, market, or strategy, the accuracy of any odds, price, or probability displayed, or that any market will attract sufficient liquidity or counterparties. You acknowledge that the Platform's interests (including its fee revenue) are not aligned with any particular Resolution Outcome, and that the Platform has no duty to act, or to refrain from acting, in your individual financial interest.
6.14 Promotional Rewards, Quests, Seasons, Badges, and Referrals
(a) What these programs are. The Platform may from time to time offer promotional programs, including quests, streaks, badges, tiers, seasons with announced prize pools, leaderboards, and referral or sponsor programs (together, the "Rewards Programs"). The Rewards Programs are promotional, discretionary, and gratuitous. They are not a service the Platform undertakes to provide, they are not part of the consideration for your use of the Platform, and they are not a deposit, an account balance, a credit, a security, an investment, or an instrument of any kind. Nothing in a Rewards Program alters a Market, a Resolution Outcome, or the Protocol Contracts.
(b) The Platform may change or end them. The Platform may create, modify, suspend, retire, or discontinue any Rewards Program, quest, badge, tier, season, prize pool, or referral arrangement, in whole or in part, at any time and in its sole discretion. Changes take effect prospectively. Retiring a quest stops it being offered; it does not reduce a reward you have already earned under Section 6.14(d) and not forfeited under Section 6.14(i).
(c) Eligibility. You may earn under a Rewards Program only while you satisfy every eligibility requirement in Section 4, remain admitted to the Platform, and have accepted the then-current version of these Terms and any required disclosure. A person in, resident in, or a citizen of a Restricted Jurisdiction earns nothing under any Rewards Program, regardless of activity, and the exclusions and remedies in Sections 4.2 through 4.7 apply to earning and claiming as they apply to market participation. If you cease to be eligible, you stop earning immediately and any amount not already paid to you is forfeited.
(i) Activity in a private market earns nothing. Activity in a Market whose participation is restricted to an invited group earns no progress, no points, and no reward under any Rewards Program, because such a Market has no open counterparty.
(d) How earning is determined. Progress, points, streaks, badges, standings, and reward amounts are computed by the Platform from settled, finalized on-chain facts, and never from any action reported by your browser or device. The Platform's own computation from those facts is the sole determinant of what you have earned. Figures shown in the Interface are indicative and may lag, be recomputed, or be corrected as the Platform's view of finalized on-chain data advances; a corrected figure supersedes a figure previously displayed, and the Platform is not liable for reliance on a figure that a correction supersedes.
(e) Seasons and prize pools are capped. Every quest belongs to a season, and every season has an announced prize pool and a per-participant cap. An announced prize pool is a maximum, not a promise, and the aggregate amount payable under a season will not exceed it. Rewards are allocated in the order claims are recorded; a season's pool or your cap may be exhausted before a reward you believe you earned is claimed, and an amount that exceeds either the pool or your cap is not payable. Seasons run for a stated window, and activity outside that window earns nothing under it.
(f) A claim records an obligation; it is not a payment. When you claim, the Platform records a claim for a stated amount and marks it queued. Queued means recorded and not yet paid. The Platform makes no representation as to when, or whether, a queued claim will be paid, and:
(i) payment depends on the Platform having funded a treasury for that purpose, which it is under no obligation to do;
(ii) no interest, yield, indexation, or compensation of any kind accrues on a queued claim, and a queued claim confers no right to any specific asset, wallet, or contract balance;
(iii) the Platform may pause the claim queue, in whole or by network, at any time, in which case no new claim is accepted while the pause is in effect; and
(iv) a claim is claimed once. Repeating a request that has already been recorded returns the claim already recorded and does not create a second one, and a period once claimed cannot be claimed again.
(g) Claims are pull-only. The Platform does not push rewards to you. A reward is payable only after you claim it, and an unclaimed reward may lapse on the terms stated for the season in which it was earned.
(h) Tiers, badges, and standings are presentational. A tier, badge, rank, or leaderboard position is a display of past activity. It confers no right, no priority, no entitlement to any amount, and no change to any fee. The settlement fee described in Section 6.3 is computed by the Protocol Contracts from a Market's volume and is not, and cannot be, varied by a tier, badge, season standing, or any other Rewards Program status.
(i) Forfeiture for abuse. The Platform may, in its sole discretion and without notice, reduce your progress to zero, withhold a reward, and void a queued claim in whole or in part where it determines that you have engaged in conduct prohibited by Section 3.7 (Sybil conduct, multiple accounts, collusion, wash trading, and the manipulation or multiplication of rewards or referrals), by Section 4.4 (circumvention), or otherwise in breach of these Terms, or where a reward arose from an error, a defect, a corrected computation, or activity that was not genuine independent participation. A voided claim is permanently forfeited and cannot be re-earned or re-claimed. Section 3.9 governs the process, and the remedies in Sections 3.9 and 4.6 are cumulative with this Section.
(j) Referral and sponsor programs. You shall not refer yourself, refer an account, wallet, or identity you control or coordinate with, or obtain attribution by misrepresentation, incentivized signup, spam, or any automated means. Attribution is as the Platform computes it, and a referral the Platform cannot attribute earns nothing. The Platform may void referral rewards, and any resulting standing, under Section 6.14(i).
(k) Taxes. Section 6.4 applies in full to every amount earned, claimed, or paid under a Rewards Program. Determining, reporting, and paying any tax on a reward is yours alone, amounts may be shown and paid without regard to any tax applicable to you, and the Platform may withhold or report where it determines it is legally required to.
(l) Remedy and limits. Where the Platform determines that a claim was voided or a reward withheld in error, its sole obligation, and your sole and exclusive remedy, is to reinstate the affected progress or claim — not to pay damages, interest, or any substitute amount. Any Dispute arising from a Rewards Program is subject to Sections 6.5 through 6.8, including mandatory individual arbitration, the class-action waiver, and the limitation of liability and damage cap, and for the avoidance of doubt the aggregate cap in Section 6.8 applies to all such Disputes together.
7. General Provisions
7.1 Entire Agreement
These Terms, together with the policies, schedules, and documents incorporated by reference, constitute the entire agreement between you and the Platform regarding the Platform and supersede all prior or contemporaneous understandings, communications, and agreements, whether oral or written, on that subject. You have not relied on any representation not expressly set out in these Terms.
7.2 Incorporated Policies
(a) The Privacy Policy, the Content Policy, the Prohibited Jurisdictions List, and the Fee Schedule are incorporated into and form part of these Terms. By using the Platform you agree to each of them. In the event of conflict, Section 1.2(e) governs.
(b) Canonical locations. The following documents are published, and maintained, at the following stable, permanent locations on the Platform's own domain, and are not hosted on any third-party platform:
(i) Fee Schedule, https://ultramint.xyz/legal/fee-schedule;
(ii) Content Policy, https://ultramint.xyz/legal/content-policy; and
(iii) Prohibited Jurisdictions List, https://ultramint.xyz/legal/prohibited-jurisdictions.
(c) Versioning. Each such document is versioned and dated (for example, "v1.0, effective November 1, 2026"), and each superseded version is archived and remains accessible at the same domain.
(d) Binding version. The version of each incorporated document in effect at the time of your relevant transaction or action governs that transaction or action. You are responsible for reviewing the then-current version before you transact, and your continued use of the Platform constitutes acceptance of the then-current versions.
7.3 Amendments; Changes to the Terms
(a) The Platform may amend these Terms and any incorporated policy at any time. The Platform will make the amended version available through the Interface and update the "last updated" date, and, where required by applicable law or where the change is material, will take reasonable steps to notify you.
(b) Amendments are effective when posted, or on any later date stated. Your continued access to or use of the Platform after an amendment takes effect constitutes your acceptance of the amended Terms. If you do not agree to an amendment, you must stop using the Platform and, where applicable, close your positions and withdraw. Except where a change is required by law or necessary for security or legal-compliance reasons, an amendment does not retroactively alter the economic terms of a position you took before the amendment took effect.
7.4 Assignment
You may not assign, transfer, or delegate these Terms or any of your rights or obligations under them, in whole or in part, without the Platform's prior written consent, and any purported assignment in violation of this Section is void. The Platform may freely assign, transfer, or delegate these Terms and its rights and obligations, in whole or in part, without your consent and without notice, including in connection with a merger, acquisition, reorganization, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.
7.5 No Waiver
No failure or delay by the Platform in exercising any right, power, or remedy under these Terms operates as a waiver of it, and no single or partial exercise of any right precludes any further exercise of it or of any other right. A waiver is effective only if in writing and signed (or electronically confirmed) by the Platform, and only for the specific instance and purpose given.
7.6 Severability
If any provision of these Terms is held invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, or, if it cannot be so enforced, shall be severed, and the remaining provisions shall remain in full force and effect. This Section is subject to the specific non-severability rule applicable to the Class Action and Collective Action Waiver in Section 6.7.
7.7 Force Majeure
The Platform is not liable for any delay or failure to perform arising from causes beyond its reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, labor disputes, governmental or regulatory action, changes in law, court or regulatory orders, sanctions, failures or disruptions of the internet, telecommunications, the Blockchain, RPC or node providers, wallet providers, hosting or utility services, or other third-party infrastructure, and cyber-attacks or other security incidents. This Section does not limit your obligations to pay amounts due or the operation of the Regulatory Preemption and Emergency Void provisions (Section 6.2).
7.8 Notices; Electronic Communications and Consent
(a) You consent to receive communications from the Platform electronically, including through the Interface, by email to any address you provide, or by other electronic means, and you agree that electronic communications satisfy any legal requirement that a communication be in writing. It is your responsibility to keep your contact details current and to check for notices.
(b) The Platform may give notice to you through the Interface or by electronic communication. You must send any notice to the Platform to the contact address specified in these Terms or on the Interface. Notices are deemed given when sent (for electronic notices) or when posted (for notices via the Interface).
7.9 Electronic Acceptance
By clicking to accept, signing (including by cryptographic signature), signing in or authenticating through the Platform's authentication provider, or otherwise accessing or using the Platform, you agree to be bound by these Terms and consent to transact electronically. Records maintained by the Platform in electronic form are admissible and constitute conclusive evidence of the matters recorded, absent manifest error.
7.10 Relationship of the Parties
Nothing in these Terms creates any partnership, joint venture, agency, fiduciary, employment, or trust relationship between you and the Platform. You and the Platform are independent parties, and neither has authority to bind the other.
7.11 Third-Party Beneficiaries
The Platform Parties and the Released Parties that are not signatories to these Terms are intended third-party beneficiaries of, and may enforce, the provisions of these Terms that confer rights, releases, disclaimers, or limitations upon them. Except as so provided, there are no third-party beneficiaries of these Terms.
7.12 Language
These Terms are drafted in English, and the English-language version governs. Any translation is provided for convenience only; in the event of conflict, the English version controls, except where applicable law requires otherwise.
7.13 Survival
Any provision that by its nature should survive termination survives, including provisions relating to eligibility representations, market integrity, disclaimers, assumption of risk, fees earned, the forfeiture and limitation provisions of Section 6.14, taxes, indemnities, limitation of liability, the class-action waiver, arbitration, governing law, and these General Provisions.
7.14 Contact
Questions or notices regarding these Terms may be directed to the Platform by email to legal@ultramint.xyz and, for formal legal notices, to Vivaach SRL at its registered office in Costa Rica: [insert Vivaach SRL registered address, pending entity incorporation; obtain from Bernardo].
